PUBLIC OFFER FOR PROVIDING ACCESS TO UKLON SERVICE

“UKLON UB” FE LLC (hereinafter referred to as “Uklon”), carries out the implementation of software by providing access to the Service (as defined below) to a self-employed persons engaged in the business of passengers transportation by road who accept this offer by performing the actions specified below (hereinafter referred to as the “User”). Uklon and User are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

1. CONCLUSION OF THE AGREEMENT AND USER WARRANTIES

1.1. The User understands that access to the Service is provided on the terms and conditions, in the manner and to the extent set out herein, which has the status of a public offer in accordance with Article 369 of the Civil Code of the Republic of Uzbekistan.

1.2. The User confirms that he/she has read the text of the Public offer, understood its content and agrees with it.

1.3. Downloading and installation of the Mobile Application by the User, entering data into it and registration is a full and unconditional confirmation of the User’s acceptance of the terms and conditions of the Public offer in accordance with article 370 of the Civil Code of the Republic of Uzbekistan.

1.4. Upon acceptance by the User, the terms and conditions of the Public offer become a binding Agreement (contract) for the Parties in accordance with Article 364 of the Civil Code of the Republic of Uzbekistan, which is subject to execution in accordance with its terms and conditions.

1.5. By accepting the terms and conditions of the Agreement, the User warrants that he/she complies with the legal requirements specified in clauses 4. 1. 3 and 4. 1. 4 of this Agreement applicable to the fulfillment of the respective Orders.

1.6. The Agreement does not establish any other legal relationship (including employment relationship) between Uklon and the User other than the relationship expressly set forth in this Agreement.

2.  TERMS AND DEFINITIONS

2.1. “Bonus” shall mean a bonus remuneration accrued by Uklon to the balance of the User’s Account for fulfilling the terms and conditions of the existing bonus programs as well as personalized bonus payments in accordance with “UKLON DRIVER” Loyalty Programme.

2.2. “Uklon Fee” shall mean the User’s payment in favor of Uklon for providing access to the Service, including Uklon’s agency (commission) fee for the execution of an assignment in accordance with this Agreement.

2.3. “Didox-S” shall mean an electronic document flow platform available at https://ds.didox.uz, designed for collection, storage, processing, transfer of information and organization of legally significant electronic document flow between legal entities and individuals, used by the Parties within the framework of cooperation under this Agreement.

2.4. “Order” shall mean the Customer’s request for passenger transportation services by a passenger vehicle, luggage delivery and other services that may be available from time to time through the Mobile Application, structured according to the necessary details.

2.5. “Customer” shall mean any legally capable person who has placed an Order using the Mobile Application.

2.6. “Mobile Application” shall mean a copy of the computer program in the form of a mobile application for iOS, Android electronic devices titled “Uklon Driver”, which is provided by Uklon to the User as a tool to access the Service during the term of the Agreement.

2.7. “Payment Card” shall mean a payment instrument supported by the processing system of the Payment System, used for payment for the cost of goods (services, works), transfer of funds from one account to another, as well as for crediting and receiving cash.

2.8. “Payment System” shall mean IE LLC “INSPIRED”, the operator of the payment system “PAYME” (license of the Central Bank of the Republic of Uzbekistan No. 3 dated April 4, 2020) or other payment organizations and banks that cooperate with Uklon and are accepted by the User, alone or in cooperation with other operators, as a payment system (bank) authorized to organize non-cash payments of the Customers for Orders within the Service, as well as mutual settlements between the Parties, in particular, the withholding of amounts payable by the User to Uklon.

2.9. “UKLON DRIVER” Loyalty Programme is a marketing activity of Uklon aimed at increasing the activity of Users in using the Service, and the recognition and loyalty of Users to the Uklon brand. The terms and conditions of participation in “UKLON DRIVER” Loyalty Programme are available at the link: https://uz.uklon.eu/ru/user-agreement-ru/uklon-driver and define the procedure and terms of conduct of the Loyalty Programme, interaction of the parties within the framework of its implementation and receipt of remuneration.

2.10. “UKLON RIDER” Loyalty Programme is a marketing activity of Uklon aimed at increasing the activity of the Customers in using of the Online Service “Uklon”, and the recognition and loyalty of Customers to the Uklon brand. The terms and conditions of participation in “UKLON RIDER” Loyalty Programme are available at the link: https://uz.uklon.eu/ru/user-agreement-ru/uklon-rider/ and define the procedure and terms of conduct of the Loyalty Programme, interaction of the parties within the framework of its implementation and receipt of remuneration.

2.11. “Promo Code” shall mean a certain sequence of symbols that gives the Customer a discount on the price of the Order, subject to activation of the Promo Code and compliance with other terms of use in accordance with the “UKLON RIDER” Loyalty Programme.

2.12. “Self-employed person” shall mean an individual engaged in independent activity based on personal participation in the performance of work and rendering services to individuals and legal entities for the purpose of receiving income from labor, registered with the State tax authorities in accordance with the procedure established in the Republic of Uzbekistan and not having the status of an individual entrepreneur.

2.13. “Service” shall mean a technological platform consisting of a Mobile Application and an interconnected set of computer programs and electronic data in the form of numbers, letters, symbols, images and their combinations (including graphic information, video information, etc. ), intended for automated control, collection, processing, distribution, storage and presentation of data about Orders placed on it by the Customer, automatic calculation of the cost of the Order taking into account the relationship between supply and demand, weather conditions, route, workload and other factors, which automatically builds routes and ensures the exchange of data for the User’s communication with the Customer, allows the Customer to place and change, and the User to confirm or reject the relevant Orders at his/her own discretion, publish data about his/her location, rate the Customers, and use routes built by the program in real time within the available functionality of the Service.

2.14. “Agreement” shall mean this Public Offer to provide access to the Uklon Service, which is also referred to as the “Public Offer” or “Offer” throughout the text.

2.15. “Account” shall mean a unique identifier of the User, which is used for summary accounting of the number and details of the Orders accepted by the User, information on payment for these Orders and on the User’s debts or claims against Uklon in connection with the Orders provided by the User. The account is of a technical nature and does not have the status of a current or bank account.

3. SUBJECT MATTER OF THE AGREEMENT

3.1. The subject of this Agreement is the provision of software implementation services by Uklon by providing the User with access to the Service via the Internet, for the provision of which the User, in turn, undertakes to pay the Uklon Fee.

3.2. The User acknowledges that Uklon is not engaged in the provision of any transportation services and under no circumstances will Uklon be liable to Customers for the non-execution or improper execution of Orders by User, as well as for harm that may be caused to the life and health of Customers or damage that may be caused to the property of Customers in the course of the fulfillment of Orders by User.

3.3. The User confirms that if the fault of third parties is not established, the User will be solely (independently) liable to the Customers for non-fulfillment or improper fulfillment of Orders by the User, as well as for damage that may be caused to the life and health of the Customers or damage that may be caused to the property of the Customers in the course of execution of Orders by the User.

3.4. Conditions for accessing the Service. To access the Service, the User must register through the Mobile Application. As a result, an Account will be created to access the Service. In this case, the mandatory conditions for further use of the Service functions after registration in the Mobile Application are: (i) registration of the User on the Didox-S platform, as well as (ii) the User’s active status of a Self-employed person and a valid licence card for the carriage of passengers by line taxi, obtained in accordance with the procedure and legal requirements established in the Republic of Uzbekistan.

3.4.1. Use of Didox-S platform. For the purposes of fiscalisation of passenger carriage and luggage delivery services provided by the User, as well as for the formation of the relevant primary accounting documents, the User undertakes to register on the Didox-S platform as indicated below and acknowledges that this is a prerequisite for further use of the Service functions.

The procedure of the User’s registration on the Didox-S platform, as well as the rules and conditions of further interaction with the platform, are regulated by the Didox-S legal documentation, which is communicated to the User directly through the Didox-S platform during the registration process.

3.4.2. Registration of the User on the Didox-S platform. After the User completes the registration in the Service, the User’s data, including phone number, surname, first name, patronymic and TIN, are transferred to Didox-S platform. As a result of processing the said data, the User receives an SMS message with an invitation-link to register on the Didox-S platform as an “executor”.

If at the moment of registration in the Service the User does not have the status of a Self-employed person – after registration on the Didox-S platform and entering the requested data the User receives the status of a Self-employed person and Uklon is determined as an agent (commission agent) of the User.

If at the moment of registration in the Service the User already has the status of a Self-employed person – after registration on the Didox-S platform and entering the requested data the User verifies the status of a Self-employed person and then Uklon is determined as the User’s agent (commission agent).

The use of the Service without going through the above procedures or withdrawal (cancellation) by the User of Uklon’s status as a commission agent with further use of the Service shall constitute a breach of the Agreement. In such case, Uklon shall have the right to suspend the execution of the User’s orders, set off all amounts under the order as a penalty for breach of the Agreement and suspend the Agreement or unilaterally terminate it.

3.4.3. Access to the Service is provided to the User solely for his/her interaction with the Customer and Uklon for the purposes of processing and realization of Orders using the functionality of the Service. For these purposes, the User is hereby granted a non-exclusive right to use the Service and the intellectual property objects included therein, in particular their reproduction, in whole or in part, on his/her suitable electronic device.

3.4.4. The User may not have more than one Account to access the Service.

3.4.5. When registering an Account, the User is obliged to provide true and complete information by filling in the appropriate form. If the User provides false or incomplete information when registering an Account or later when using the Service, Uklon has the right, in its sole discretion, to suspend or cancel the User’s access to the Account without any prior notice.

3.4.6. In the event that User’s actions (or inactions) may result in a violation of applicable law or any rights and interests of Uklon or Customers, or expose Uklon to risk, including claims against User or Uklon due to User’s actions (or inactions), Uklon shall have the right, in its sole discretion, to suspend User’s access to the Account or cancel the Account without any prior notice.

3.4.7. Uklon has the right to request from the User and to check/track by any means information regarding:

– whether the User has an active status of a Self-employed person;

– whether the User has a valid licence card for the carriage of passengers by line taxi.

In the event that Uklon is aware of the cancellation, suspension or withdrawal of the User’s Self-employed status or the cancellation or expiration of the licence card for the carriage of passengers by line taxi, Uklon shall have the right, at its sole discretion, to suspend or delete the User’s access to the Account without any prior notice.

3.4.8. When registering in the Service, the User is required to enter a unique password to access the Account. The User bears full responsibility for the provided password’s reliability and the protection of his/her Account.

3.4.9. The User independently ensures the safety of his/her password, as well as registration codes and other confidential information. Under no circumstances should the User pass this information to the third parties. Uklon shall not be liable for any consequences of User’s loss of password, registration codes and other confidential information.

3.4.10. The User bears all risks associated with unauthorized access to the Account and use of the Service by any third party (including when the User voluntarily transfers his/her password, registration codes and other confidential information to third parties).

3.4.11. If the User has reason to believe that a third party has gained access to his/her Account, the User shall notify Uklon immediately to take appropriate action, provided that User can confirm its right to maintain the Account in question.

3.5. Order Acceptance Procedure. To accept an Order, the User must have a positive Account balance, which shows that the User does not owe Uklon Fees. If the negative balance of the Account exceeds UZS 3, 000. 00, the User’s access to the Service will be suspended until the positive balance of the Account is restored. It is at the User’s sole discretion to decide whether or not to accept an Order for fulfillment. Upon acceptance of the Order, the User agrees to pay the Uklon Fee in accordance with the procedure set forth in Article 5 of the Agreement.

3.6. Use of the Payment System. Within the framework of rendering services under this Agreement, the User (commissioner) authorizes Uklon to act as a commercial agent (commissioner) of the User and to perform the following assignments:

i. using the technical functionality of the Service to determine the recommended price of the Order based on the ratio of supply and demand, weather conditions, route, traffic and other factors and offer it to the Customers with the possibility of adjustment, as well as inform the User about the price of the Order confirmed by the Customer;

ii. with the involvement of the Payment System to receive funds for the fulfilled Orders paid by the Customers by bank cards and to send the relevant funds to the User in accordance with the payment procedure provided for in this Agreement. Any payment obligation accepted by the Customer by means of bank cards shall be deemed fulfilled from the moment the payment is made.

For the purposes of this clause, the User also authorizes Uklon to act on his/her own behalf to involve, communicate and reach arrangements with the Payment System to the extent necessary for the execution of assignments. Such communications and arrangements with the Payment System shall be at Uklon’s sole discretion, provided that User shall have the right to request reasonable information about the scope and details of such arrangements. The User acknowledges and agrees that under no circumstances shall Uklon and the Payment System be liable for any relationship (including, without limitation, any disputes or complaints regarding the fulfillment of Orders) between User and Customers related to the fulfillment of Orders.

For the avoidance of any doubt, Uklon does not act as a commercial agent (commission agent) in connection with other actions to be performed by the User pursuant to the Agreement, or in connection with any other rights and obligations of the User.

3.6.1. The User agrees that the Payment System will charge the fees received by the User for the fulfillment of Orders. After deducting the Uklon Fee and the Payment System Fee, in accordance with Article 5 of the Agreement, the remaining amount shall be transferred by the Payment System to the User’s respective accounts.

3.7. Bonuses. It is at the User’s discretion to decide whether to comply with the terms and conditions of the current bonus programs in accordance with “UKLON DRIVER” Loyalty Programme. Upon proper fulfillment of the relevant terms and conditions, Uklon undertakes to credit the User with the Bonus in accordance with the procedure set forth in “UKLON DRIVER” Loyalty Programme and current Agreement.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1.  The User shall:

4.1.1. comply with his/her obligations under the Agreement, to familiarize himself during the registration process with the “Terms and/or Rules of Cooperation” posted on the Internet at the link https://uz.uklon.eu/driver-update/ and to comply with their provisions;

4.1.2 properly fulfill all Orders accepted by him/her;

4.1.3 maintain the vehicle used to fulfill Orders in good technical and clean condition (including regular maintenance, checking the functionality of all systems and components of the vehicle, as well as maintaining its appearance and interior of the vehicle in appropriate condition), and also comply with the rules of the road traffic and other legal requirements applicable to the relevant vehicles (in particular, comply with the requirements established for the color and special serial state license plate of vehicles, for periodic technical inspection, as well as for the presence of the “TAXI” identification sign, information plate, electronic devices with special applications for making payments and electronically recording mileage, etc.);

4.1.4. have all the necessary permits determined by law and current Agreement for the execution of Orders, provide copies of them to Uklon upon first request, and immediately inform Uklon in writing about any changes thereto, in particular:

– a certificate of state registration of the vehicle;

– a license card for the carriage of passengers by line taxi, issued for the vehicle registered in Tashkent city or Tashkent region;

– a certificate of registration as a Self-employed person;

– a driver’s license of the appropriate category;

– a document certifying the right to use a vehicle of third parties (if applicable);

– MTPL insurance policy;

– confirmation of a regular medical examination, etc.

4.1.5. not transfer the rights and possibilities of access to the Service to any third parties;

4.1.6. pay timely and in full the Uklon Fee;

4.1.7. provide Uklon with the necessary information related to the fulfillment of the terms and conditions of the Agreement;

4.1.8. in case of refusal to fulfill the accepted Order, notify Uklon thereof;

4.1.9. not smoke, eat, or violate other ethical rules of behavior, as well as to respect local customs and traditions when fulfilling the Order;

4.1.10. observe the etiquette of behavior established by the norms of society, as well as local customs and traditions of the Republic of Uzbekistan when fulfilling the Order, in particular:

• do not reproduce audio materials and video materials without the consent of the Customer, do not reproduce audio materials and video materials of a religious nature without the appropriate permission of the Customer;

• do not equip the vehicle unnecessarily with additional attributes, including attributes of a religious nature that may conflict with the religious beliefs of third parties;

• do not start a conversation with the Customer during the execution of the Order unless necessary, do not enter into disputes, do not be rude or rude to the Customers, do not use obscene language and do not raise topics of a religious or political nature in the conversation.

4.1.11. provide Uklon with the following information and immediately inform Uklon (and the Payment System) in writing of any changes thereto:

• an ID;

• a certificate of registration as a Self-employed person;

• a certificate of state registration of the User’s vehicles used for fulfillment of Orders;

• a license card for the carriage of passengers by line taxi, issued for the vehicle registered in Tashkent city or Tashkent region;

• TIN/PINFL;

• driver’s license;

• address, contact phone number, e-mail;

• bank account information and information on any payment transactions related to the Service or Bonuses to the extent necessary to monitor the proper payment of Uklon Fee or Bonuses accruing in accordance with “UKLON DRIVER” Loyalty Programme;

4.1.12. specify Uklon as a commercial agent (commission agent) of the User using the functionality of Didox-S platform and, in case of change of such status, immediately stop using the Service;

4.1.13.  not violate the rights and interests of the Customers and third parties when fulfilling the conditions of Uklon bonus programmes in accordance with “UKLON DRIVER” Loyalty Programme;

4.1.14. when accepting Orders for luggage delivery, not accept addressed correspondence, parcels, containers, printed publications in appropriate packaging or other postal items for delivery.

4.2. The User shall be entitled to:

4.2.1. access the Service and use it in accordance with the terms and conditions of the Agreement;

4.2.2. Bonuses accruing in case of compliance with the terms and conditions of the existing of Uklon bonus programmes in accordance with “UKLON DRIVER” Loyalty Programme;

4.2.3. obtain from Uklon the necessary explanations related to the fulfillment of its obligations under the Agreement;

4.2.4. refuse to transport items prohibited for transportation in accordance with the legislation or posing other risks for life, health and property of the User or third parties, as well as refuse to accept any postal items for delivery.

4.3. Uklon shall:

4.3.1. enable the User to register an Account and access the Service from a suitable electronic device of the User;

4.3.2. facilitate the performance by Users of Orders providing for the accrual of Bonuses, to accrue Bonuses in due time and in full and provide Users with complete and up-to-date information on the current bonus programmes in accordance with “UKLON DRIVER” Loyalty Programme;

4.3.3. provide the User with the necessary information related to the fulfillment of the Agreement terms and conditions;

4.3.4. with the involvement of the Payment System in case of non-cash payment for the Order, ensure the deposit of the Customers’ funds (escrow services) and ensure accounting of the deposited funds linking them to the respective Order;

4.3.5. provide information regarding the fact of depositing funds and the fact of their transfer to the User or the Customer.

4.4. Uklon shall be entitled to:

4.4.1. verify the User’s compliance with the terms and conditions of the Agreement, as well as the “Terms and/or Rules of Cooperation”;

4.4.2. require the User to comply with the appropriate level of Customer service;

4.4.3. in case of non-fulfillment or improper fulfillment of the terms and conditions of the Agreement by the User, demand elimination of the violations;

4.4.4. unilaterally terminate the Agreement in accordance with the procedure provided for in clause 6.1 of the Agreement;

4.4.5. initiate bonus programmes, personalized bonus payments and provide Users with Bonuses in accordance with “UKLON DRIVER” Loyalty Programme, as well as provide Customers with Promo Codes in accordance with “UKLON RIDER” Loyalty Programme;

4.4.6. suspend or cancel access to the Service, suspend any settlements under the Agreement or terminate this Agreement at its discretion unilaterally without prior notice to the User if there are grounds to believe that the User or any third party (including, but not limited to, the Customer) with the assistance or knowledge of the User commits fraudulent and/or other actions that violate the law, this Agreement, the rules of the Payment System or otherwise infringes on Uklon rights and interests or puts Uklon at risk of sanctions;

4.4.7. assign a class to the User’s car at its own discretion, based on various criteria (including, but not limited to: car model, its condition, comfort level and other parameters). Car classes will be displayed to the Customers in the Mobile Application

receive and transfer to the Payment System, the State Tax Committee, the Ministry of Transport of the Republic of Uzbekistan, as well as the owner of Didox-S platform – Didox Tech Limited Liability Company all information about the User (including his/her personal data), Customers, Bonuses and the Agreement, to the extent and for the purposes necessary for the proper execution of the Agreement. The specific list of information to be transferred to each of the above subjects in connection with this Agreement is defined by the Regulation on Processing and Protection of Personal Data, available on the Internet at the following link: https://uz.uklon.eu/ru/privacy-policy-ru/, tab “Regulation on Processing and Protection of Personal Data”;

4.4.8. withhold the funds to be paid or reimbursed by the User in favour of Uklon as Uklon Fee, penalty or fine from the funds received by Uklon in the course of execution of orders. The Parties acknowledge that if the User has an obligation to pay Uklon Fee, penalty or fine, such withholding of funds shall not be considered a breach of Uklon’s obligations under the Agreement.

4.4.9. delegate its rights and obligations within the framework of execution of an assignment to the Payment System without further consent of the User;

4.4.10. other rights provided for in this Agreement.

5. COST AND PAYMENT PROCEDURE

5.1. Uklon Fee. The Uklon Fee shall be 19% of the value of each Order executed by the User, including all applicable taxes and duties.

5.1.1. For Orders paid by Customers to User in cashless form, Uklon’s Fee shall be retained directly by Uklon. For Orders paid by Customers in cash, at Uklon’s sole discretion, the Uklon Fee shall be subject to Uklon’s retention of a positive User Account balance or may be offset against User’s counterclaims for accrued Bonuses.

5.1.2. Any amounts (fines, damages or harm, etc.), payable by User to Uklon pursuant to the Agreement shall, at Uklon’s sole discretion, be deducted upon execution of the assignment, from the amounts due to User.

5.2. Settlements between the Customers and the User shall be organized in cash or non-cash by means of Internet acquiring technology (“acquiring service”), whereby the Customers’ payments to the User will be made through the Payment System. For the purposes of this clause, “acquiring service” shall mean a payment service provided in the course of execution of the assignment using various tools and means of payment when involving the Payment System by Uklon as a provider of payment services.

5.3. All expenses incurred by Uklon in the execution of the User’s assignments, including, but not limited to, services of the Payment System, the fee of the Payment System (represented by the relevant bank) for withdrawal of funds when the User withdraws funds from the balance of the Account, the costs of maintaining the information and technical infrastructure of the Service, rent, payment for the services of engaged contractors, salaries of employees and any other expenses shall be deemed to have been paid by the User in favour of Uklon by payment of Uklon Fee and shall not be subject to additional reimbursement by Uklon, except for the cases of replenishment the balance of the Account by the User, when the Payment System withholds a separate commission from the User in amount of 1% from the amount of replenishment.

5.4. Taxes, regulatory requirements, and other expenses. The User agrees to pay at its own expense all taxes, fees, license fees arising out of or related to the performance of Orders, as well as to bear all other expenses arising out of or related to the performance of Orders, compliance with the requirements of the law and this Agreement. In the event that User breaches these obligations and Uklon incurs monetary penalties in connection therewith, User agrees to reimburse Uklon for the amount of such penalties, including Uklon’s right to recover the corresponding amount from the funds due to User.

5.5.  Bonuses. Bonuses due to the User for fulfillment of the conditions of the current bonus programs in accordance with “UKLON DRIVER” Loyalty Programme, shall be accrued in accordance with the terms of current bonus programs and personalized bonus payments. Bonuses shall be accrued to the balance of the User’s Account and may be used for settlement of Uklon’s claims to the User under this Agreement or converted to the monetary remuneration for fulfilment of the relevant Orders.

5.5.1. The terms of granting Bonuses and the amount of Bonuses due shall be defined in Uklon’s bonus programmes in accordance with “UKLON DRIVER” Loyalty Programme. The current bonus programs are published on the Internet at https://uz.uklon.eu/driver-update/, and the User receives Push and TCP notifications about new bonus programs.

5.5.2. The types of bonus programmes and personalized bonus payments are established by the terms of “UKLON DRIVER” Loyalty Programme.

5.6. Updating. The rates and tariffs provided for in this Article 5 of the Agreement may be modified, at Uklon’s sole discretion, temporarily or permanently, in part or in whole, taking into account factors that Uklon deems applicable, by amending or supplementing the Agreement in the manner set forth in Section 6. 4 of the Agreement.

6. VALIDITY AND TERMINATION OF THE AGREEMENT

6.1. The Agreement is concluded for an indefinite period of time and may be:

• terminated at any time by mutual written consent of the Parties;

• unilaterally terminated by either Party with prior written notice to the other Party at least 5 (five) business days prior to the proposed termination date;

• in accordance with and in the manner determined by the other provisions of this Agreement.

6.2. If within 1 (one) year after the last top-up of the Account balance the User has not executed any Order, the Agreement shall be deemed terminated at the initiative of the User. This circumstance does not deprive the User of the right to contact Uklon in order to conclude a new agreement.

6.3. The current version of the Agreement shall be published in the “About Service” section of the Mobile Application and on the Internet at https://uz.uklon.eu/en/user-agreement-en/public-offer-for-partner/ , tab “Public Offer”. The User agrees to regularly familiarize himself or herself with the current published version of the Agreement and shall bear all risks and liability associated with or arising from failure to familiarize himself or herself with the current version of the Agreement.

6.4. Uklon shall have the right, at its sole discretion, to unilaterally modify or amend the terms and conditions of the Agreement at any time. All amendments and additions to the Agreement, including a new version of the Agreement, unless otherwise specified by Uklon, shall become effective upon their publication, and the User shall be responsible for familiarizing himself/herself with and complying with the relevant amendments or additions.

6.4.1. If the User for any reason does not agree with the amendments and addenda to the Agreement, the User shall refrain from further acceptance of Orders and shall inform Uklon in writing of the reasons for its disagreement. If the Parties are unable to reach an agreement in the manner provided in clause 8. 3 of the Agreement, the Agreement shall be deemed terminated at the initiative of the User after the expiration of the period set aside for dispute settlement.

6.4.2. If the User continues to accept Orders after the publication of amendments and additions to the Agreement, this shall be deemed as confirmation of the User’s full and unconditional acceptance of the said amendments and addenda.

7. LIABILITY OF THE PARTIES

7.1. In case the User refuses the first two accepted Orders, Uklon has the right to issue warnings to the User, and in case of refusal of the third and each subsequent accepted Order later than 5 minutes after acceptance of the Order during the term of validity of the Agreement – to impose a fine in the amount of UZS 6000 for each refusal.

7.2. In case of repeated unjustified pressing by the User of the SOS button intended for use exclusively in emergency cases when fulfilling Orders, Uklon shall have the right to impose a fine of up to UZS 10,000.

7.3. If the User unauthorizedly increases the cost of the Order, Uklon shall be entitled to charge the User a fine in the amount of the unauthorizedly increased cost of the Order.

7.4. If the User participates in schemes to create artificial Orders for the purpose of unjustified accrual of Bonuses and/or unjustified provision of Promo Codes, Uklon has the right to impose a fine in the amount of accrued Bonuses and/or provided Promo Codes.

7.5. In the event that Uklon suffers damages as a result of User’s breach of this Agreement or legal requirements, User shall, at Uklon’s request, fully compensate Uklon for the losses incurred by Uklon, including lost profits.

7.6. Any complaints (claims) of the Customers related to or arising from the non-fulfillment or improper fulfillment of Orders by the User may be accepted and considered by Uklon. If, upon review of the complaint, in the reasonable opinion of Uklon it is determined that they are justified, Uklon shall have the right to impose a fine on the User in the amount of the value of the relevant Order, as well as to demand from the User full reimbursement of the losses incurred by Uklon in connection with the said complaint.

7.7. In case the User violates any of its obligations set forth in Articles 3–8 of the Agreement, Uklon has the right to terminate the User’s access to the Service without prior notice. For the purposes of the Agreement, a breach of the listed articles will be considered a material breach by the User of its contractual obligations under the Agreement.

7.8. Termination of access to the Uklon Service on the grounds specified in clause 7.7 of the Agreement does not release the User from fulfillment of obligations arising prior to such termination of access to the Service.

7.9. In case of termination of access to the Service in accordance with clause 7.7 of the Agreement, in order to resume providing such access, the User undertakes to eliminate the violations in full and inform Uklon thereof as soon as possible. If the User fails to eliminate the violations and inform Uklon thereof within 5 (five) business days from the date of termination of access, Uklon shall have the right to terminate the Agreement unilaterally.

8. OTHER PROVISIONS

8.1. In cases not stipulated by the Agreement, the parties shall be guided by the legislation of the Republic of Uzbekistan.

8.2. All conditions of transfer, processing, and storage of personal data, which are not regulated by this Agreement, are determined by the Privacy Policy, available on the Internet at the following link: https://uz.uklon.eu/en/user-agreement-en/privacy-policy/ , tab “Privacy Policy”.

8.3. Any disputes and disagreements related to or arising out of this Agreement, its conclusion, execution or termination shall be resolved by negotiations between the Parties. If the Parties are unable to settle a dispute through negotiations within 30 (thirty) calendar days after one of the Parties notifies the other Party in writing of the occurrence of such dispute or disagreement, such dispute shall be resolved in the courts of the Republic of Uzbekistan.

8.4. The database formed as a result of the User’s access to the Services is the exclusive property of Uklon, and the User shall not acquire any rights and powers with respect to it.

8.5. This Agreement is drawn up in three versions in Russian, English and Uzbek, each of which is available in the “About Service” section of the Mobile Application and on the Internet at https://uz.uklon.eu/en/user-agreement-en/public-offer-for-partner/ , tab “Public Offer”. In case of inconsistency between the terms of this document in English and Uzbek and its translations in Russian, the Russian version of the document shall have legal force.

This Privacy Policy for Corporate Clients (hereinafter referred to as the Policy) was developed by UKLON UB Foreign Enterprise in the form of a Limited Liability Company, Tax ID 310448243, registered at: 100060, Republic of Uzbekistan, Tashkent, Mirabad district, T. Shevchenko Str., 34, office 306 (hereinafter referred to as the Company, “we”, “us”, “our”), to explain how and why we collect and process personal data of corporate clients, how long we store them, what rights the personal data subjects have in connection with the processing of such data by us.

Consistent and effective data protection is one of our priorities, so we make every effort to ensure that your personal data is safe and processed in accordance with the requirements of applicable legislation and best practices.

This Policy applies to individuals whose personal data is processed or may be processed in the future by us as the data controller, including those who use specific sections of our websites https://uz.uklon.eu/ru/business-ru/ and https://corporate-portal.uklon.com.ua/auth/sign-in (hereinafter referred to as the “Website”), submit a corresponding registration form, contact us with inquiries, or order our services for access to the functionality of the Uklon Online Service (permission to use software) for corporate clients (hereinafter referred to as the “Services”), which involves the collection of personal data.

When we control the methods of collecting personal data and determine the purposes for which such data is used, the Company acts as the data controller under the Law of the Republic of Uzbekistan on Personal Data dated July 02, 2019 No. ZRU-547 (hereinafter referred to as the “Law”).

By using the Website (in the relevant part) and/or using the Services, you agree and declare that you have read, understood, accepted, and agreed to comply with the terms of this Policy. If you do not agree with the processing of your personal data in accordance with this Policy, please do not provide us with your data.

We may supplement or amend this Policy from time to time without prior notice, including if required by applicable law. You hereby consent to amendments to the Policy without receiving any specific confirmation from you. We recommend regularly checking the current version of the Policy on the Website to stay informed of the latest amendments.

This Policy is drafted in Russian but is provided for the information of data subjects in Uzbek and English languages. In case of discrepancies between the terms of this document in Russian and its translations into Uzbek and English, the Russian version of the document published at the following address: https://uz.uklon.eu/ru/user-agreement-ru/privacy-policy-corporate-ru/, shall prevail. 

What Personal Data We Process

We collect and process personal data that you voluntarily provide to us, including but not limited to: first name, last name, job title, email, phone number, and location address. 

This personal data may be provided by you when filling out the registration form on the Website, as well as when completing your profile after registering an account. 

If a business entity (legal entity or sole proprietor) creates an account on the Website, the account may include personal data of employees and other individuals who may use our Services. Accordingly, the Company will process such personal data, including but not limited to the first name, last name, email, phone number, and order details.

We also process your data when you contact our customer support service or reach out to us through other communication links. In such cases, we may record our conversations and/or correspondence, which may also contain personal data.

Personal Data We Process Automatically

We may automatically process certain data, including your IP address, the date and time you used our Services, information about your hardware and software, and data about the Internet browser you use. Additionally, we may collect information about the operating system of your computer or mobile device (e.g., language settings).  We may also collect information about clicks on specific buttons and visits to web pages on the Website.

Such data is typically collected using cookies and similar technologies that the Company employs to manage the Website and provide you with functional capabilities and personalized messages.

Personal Data of Other Individuals You Provide to Us

It is obvious that you may place an order not only for yourself. You can order a Service for any individual by providing us with their phone number, name, and location address. 

The Company has the right to use the contact details of such individuals obtained during the Service order, to notify them of the Service order, inform them of Partner contacts, clarify their location, and obtain feedback regarding their satisfaction with the Service and the Company’s ability to provide similar Services (direct marketing).

In this regard, please be informed that you are responsible for ensuring that the individual whose personal data you have provided is aware that you have done so, understands, and agrees with how we will use their personal data (particularly as outlined in this Policy). Please ensure that you have legal grounds to provide us with another individual’s personal data to deliver the relevant Service.

Information Obtained from Other Sources

This information may include user reviews, such as ratings or compliments, information from users or other individuals providing information related to claims or disputes, information from insurance providers, and publicly available sources (such as social networks). We may combine information collected from these sources with other information we already have.

How We Process Your Personal Data

Processing of personal data refers to any action or series of actions taken regarding personal data necessary to achieve the aforementioned purposes, including, but not limited to: collection, systematization, accumulation, storage, adaptation, clarification (updating, modification), use, dissemination (including by sale or transfer), cross-border transfer, anonymization, blocking, destruction, as well as performing any other actions with personal data in accordance with the current legislation of the Republic of Uzbekistan.

By accepting the terms of this Policy upon registering on the Website, you agree to the terms of personal data processing and confirm that you are acting voluntarily and understand the legal consequences of this. 

Consent to the processing of personal data is provided by you in cases where there is no other legal basis for processing the relevant personal data, such as for the purpose of sending advertisements.  At the same time, when you order our Services, thereby entering into a transaction with us (under the terms of an individual agreement), or when the processing of personal data is required by applicable law, the Company does not require consent for the processing of such data.

It should also be noted that this Policy serves as a written notice to the data subject that they are being included in the Company’s personal data database, with the Company acting as the personal data controller.

For What Purposes and on What Grounds We Process Your Personal Data

We process your personal data for the following purposes:

– Fulfillment of Contract Terms: Meeting obligations under the terms of the contract for providing Services related to passenger transportation (under the terms of an individual agreement). This includes the necessary obligations for you to use the Website.

– Placing and Fulfilling Orders: We use personal data to enable you to place orders for passenger transportation and to share personal data with Uklon’s partners for fulfilling such orders. 

– Customer Support Service: Processing personal data by the customer support team can assist you with orders and respond to related inquiries, as well as any other questions.

– Account Management: When you create an account on the Website, the Company uses the provided information to manage the account.

– Communication with You: We may contact you for various reasons, including evaluating the quality of our Services and responding to previously received inquiries. Such communications typically occur via email, phone (call or SMS), and push notifications on the Website.

– Call Tracking: When you call customer support, we use an automatic number identification system to link your phone number with your order.  Conversations with support staff may be monitored online or recorded for quality control and further team training.  Recordings are kept for a limited period and automatically deleted unless we deem it necessary to retain them longer (e.g., for investigating legal violations or rights infringements).

– Legal Purposes: In certain cases, we may use your personal data to process and transmit it to competent authorities in accordance with the applicable legislation of the Republic of Uzbekistan.

– Marketing Purposes: The Company may provide you with marketing information through various means, including email, phone, text messages (including via messengers), and online (when using the Website). We send you marketing materials with your explicit consent or if we have a legitimate interest in direct marketing.

Disclosure and Transfer of Personal Data to Third Parties

Under certain circumstances, the Company may transfer your personal data to third parties, including to:

– Partners Executing Orders: We share your personal data with Uklon partners to fulfill your orders.  Additionally, in specific cases, we may share your phone number upon the partner’s request, but only subject to your consent.

– Third-Party Service Providers: We may use third-party services to process your personal data  on our behalf for various purposes, such as sending information (including SMS messages).  These independent service providers agree to maintain an appropriate level of data protection and are prohibited from using your personal data for any purpose other than that defined by us for the provision of the relevant service. 

– Competent Authorities: We may disclose personal data to governmental, local, regulatory, administrative, or law enforcement authorities, as well as to courts to the extent required by the applicable legislation of the Republic of Uzbekistan or as necessary to prevent, detect, or address criminal activity and fraud. Furthermore, personal data may be shared with competent authorities to protect our rights or property, as well as the rights and property of our partners.

Storage Periods for Personal Data

Your personal data is stored for the period necessary to achieve the processing purposes or for the duration required by applicable law. 

If your corporate client account is deleted, your personal data will also be removed from the database, except when such data is needed for legal, accounting purposes, or fraud prevention.

Personal data required for the aforementioned purposes may be stored after our cooperation with you has ended for a period of 3 (three) years (statute of limitations) or for a longer period specified for storing certain types of information/data, if required by applicable law. 

Upon expiration of the above period, we will delete or anonymize your personal data so that it can no longer be linked to you personally.

Please note that logging out of your user account on your device or deleting the user account does not result in the deletion of all personal data. Personal data may be deleted on the Company’s side.

How We Protect Your Personal Data

We understand that information security is important to our users and customers, and we take the security of your personal data seriously. Specifically, we maintain technical and administrative security measures to protect all personal data from loss, misuse, unauthorized access, disclosure, or alteration. 

Some of the measures we use include firewalls, data encryption, physical access control to our data centers, and information access control mechanisms. Only authorized personnel have the right to access personal data during their work.

How We Handle Children’s Personal Data

We do not knowingly collect or store personal data of individuals under 18 years old.

The Website and our Services are not intended for use by individuals under 18 years old. If you are under 18, please do not use or access the Website and do not use our Services.

– to receive, no later than thirty calendar days from the date of the request, except in cases provided by law, a response on whether your personal data is being processed and to receive the content of such personal data;

– to present a reasoned demand to the controller of the personal data objecting to the processing of your personal data; 

– to present a reasoned demand for the modification or destruction of your personal data by any operator and controller of personal data if these data are processed illegally or are inaccurate;

– to protect your personal data from illegal processing and accidental loss, destruction, damage, due to intentional concealment, non-provision or untimely provision, as well as from the provision of false or defamatory information damaging the honor, dignity, and business reputation of an individual;

– to file complaints regarding the processing of your personal data to the authorized governmental body or court;

– to apply legal remedies in case of violation of the personal data protection legislation; 

– to withdraw consent to the processing of personal data.

Please note that when you contact us, you need to undergo an identification process and submit specific requirements so we can process your request and provide a response on a legal basis. If we cannot identify you from the messages or have reasonable suspicions regarding your identity, we may ask you to provide proof of identity. This is to prevent disclosing your data to someone impersonating you, ensuring the identification process is in your best interest. Any additional information collected for verification purposes will only be used for identity confirmation.

We process inquiries as quickly as possible, but remember that providing a complete and legal response is a complex process that can last for a month or longer. We will inform you if we need more time to prepare a response.

How You Can Withdraw Your Consent to Data Processing

You can withdraw your consent to the processing of all or part of your personal data, if we process these data based on your consent, by sending a corresponding notice to the email: uz.uklon1@uklon.eu.

Please include “Withdrawal of Consent to Data Processing” in the subject line of your message to expedite the processing of your request and the provision of a response.

Please note that withdrawing consent to the processing of personal data is only possible for future data processing. Decisions and processes that were carried out during the processing of personal data cannot be reversed in the past.

Furthermore, please note that we have the right not to delete certain parts of your personal data if these data are necessary to achieve legal purposes, fulfill contractual obligations, or prevent fraud and/or if these personal data are needed to fulfill obligations under the legislation of the Republic of Uzbekistan. We will inform you of this in our response.

1. GENERAL PROVISIONS

 1.1 The User Agreement (the “Agreement”) shall be an agreement between the User and the Administrator for the provision of access to the Online Service “Uklon” (software products provision), which supersedes all the previous agreements between the User and the Administrator.

1.2 When using the Online Service “Uklon”, User regardless of their legal status and civil capacity shall be subject to the rules and restrictions set forth herein.

1.3 The Agreement, as amended, shall be posted for public notice on the Website at https://uz.uklon.eu/en/user-agreement-en/user-agreement/ , tab “User Agreement”.

1.4 The User shall confirm that they have fully and completely read the terms and conditions hereof. In the event of the User’s disagreement with any of the provisions hereof, the User may not use access to the Online Service “Uklon”.

1.5 The User shall understand that the Online Service “Uklon” is accessed by downloading, installing, and using the Mobile Application.

1.6 The User shall agree to comply with the terms and conditions hereof when registering the User on the Mobile Application.

1.7 The Administrator may unilaterally supplement or in any other way amend this Agreement without prior notification of the User. The User shall hereby agree to amend the Agreement without receiving any special confirmation from the User.

1.8 In this Agreement, the following terms shall be used in the following meanings:

Administrator shall mean a legal entity established in accordance with the laws of the Republic of Uzbekistan — Foreign Enterprise in the form of Limited Liability Company “UKLON UB”;

User shall mean any fully capable individual who has placed an Order using the Mobile Application “Uklon”;

Online Service “Uklon” (the “Online Service”) shall mean a technological platform consisting of the Mobile Application and interconnected set of computer programs and electronic data in the form of digits, letters, symbols, images and their combinations (including graphic information, video information, etc.), designed for automated monitoring, collection, processing, distribution, storage, presentation of data about the Order, which have been placed on it by the Users, and about offers of the Services placed by the Partners, automatic calculation of the value of the Services, taking into account the supply and demand ratio, weather conditions, route and its load, etc., and which automatically builds-up routes and provides data exchange for communication with the User and the Partner, and gives the User the possibility to search and read the Partners’ offers automatically generated according to the User’s criteria for potential implementation of the Order, and also to accept or reject the relevant offers of the Partners, publish your location data, change the recommended cost of the Services, provide assessments of the Online Service and Partners, and interact with them, use the routes built-up by the program in real time as provided by the available functionality of the Online Service. The Online Service is the result of computer programming related to software products.

Online Service “Uklon Driver” (the “Online Service “Uklon Driver”) shall mean a technological platform consisting of a Mobile Application “Uklon Driver” and an interconnected set of computer programs and electronic data in the form of numbers, letters, symbols, images and their combinations (including graphic information, video information, etc.), intended for automated control, collection, processing, distribution, storage and presentation of data about Orders placed on it by the User, automatic calculation of the cost of the Order taking into account the relationship between supply and demand, weather conditions, route, workload and other factors, which automatically builds routes and ensures the exchange of data for the User’s communication with the Partner, allows the User to confirm or reject the relevant Orders at his/her own discretion, publish data about his/her location, rate the Users, and use routes built by the program in real time within the available functionality.

Order parameters – additional circumstances that arise during the implementation and execution of the Order, and which have or may have an impact on the final cost of the Order, including, but not limited to, the following factors:

– traveling with an animal;

– additional waiting;

– adding an additional point for the tracking route;

– transportation of additional luggage in the cabin;

– meeting with the sign;

– non-exit of the User after placing the Order

– Preliminary order

Partner shall mean a self-employed person engaged in the business of passenger transportation by road, luggage delivery and providing other services that may be available from time to time through the Mobile Applications “Uklon” and “Uklon Driver”, who has accepted the Public Offer to provide access to the Online Service “Uklon Driver” placed on the Website.

Preliminary order – Order which was created by the User for the defined moment in future.

“UKLON RIDER” Loyalty Programme is a marketing activity of Uklon aimed at increasing the activity of Users in using the services of the Online Service, and the recognition and loyalty of Users to the Uklon brand. The terms and conditions of participation in “UKLON RIDER” Loyalty Programme are available at the link: https://uz.uklon.eu/en/user-agreement-en/uklon-rider-loyalty-programme-terms/  and define the procedure and terms of the Loyalty Programme, interaction of the parties within the framework of its implementation and receipt of remuneration.

Order shall mean the User’s request to receive Partner’s services on passenger transportation by road, luggage delivery as well as other services, which from time to time may be available through the Mobile Applications “Uklon” and “Uklon Driver”, structured according to the necessary details.

Services shall mean services for the transportation of passengers by road, luggage delivery, and other services as may be available from time to time through the Mobile Applications “Uklon” and “Uklon Driver”. Nothing in this Agreement implies or means that the Administrator provides or may provide the Services.

Website shall mean a web page on the Internet at uz.uklon.eu. Website is the result of computer programming, referring to software products.

Mobile Application “Uklon” (the “Mobile Application”) means a copy of the computer program in the form of a mobile application for iOS, Android electronic devices titled “Uklon”, which is provided to the User as a tool to access the Online Service “Uklon” during the term of this User Agreement.

Mobile Application “Uklon Drivermeans a copy of the computer program in the form of a mobile application for iOS, Android electronic devices titled “Uklon Driver”, which is provided to the Partner as a tool to access the Online Service “Uklon Driver” during the term of the Public Offer for providing access to the Online Service “Uklon Driver” posted on the Website.

 2. USER REGISTRATION

2.1 To obtain access to the Online Service, the User shall register on the Mobile Application, as a result a unique User account is created that provides access to the Online Service.

2.2 When registering, the User is obliged to provide accurate information about himself/herself by filling in the appropriate registration form.

2.3 If the User provides false information during registration or in the future when using access to the Online Service, the Administrator has the right to suspend or cancel the User’s account (registration) without prior notice or obtaining any consent from the User.

2.4 The Administrator reserves the right to immediately block the User’s actions and suspend or terminate the User’s account (registration) without prior notice or without any consent from the User according to the provisions of Section 6 hereof.

2.5   The Administrator shall have the right to delete the User’s account in case of its non-use by the User within 12 (twelve) calendar months.

2.6 When registering on the Mobile Application, the User shall enter a unique password. The User shall be fully liable for the security of the provided password and protection of its account.

2.7 In case of access by a third party to the User’s account, the User shall immediately notify the Administrator thereof to take the relevant measures, provided that the User can confirm the legitimacy of the account owned by the specific such User.

2.8 The User shall independently ensure that the information about its passwords and other confidential information is maintained. The Administrator shall bear no liability for the consequences of the User’s loss of confidential information about its personal data (login and password). This provision shall cover both the voluntarily transfer by the User of personal data to third parties, and the loss by the User of confidential information about personal data against their will.

 3. PERSONAL DATA

3.1 All issues related to processing and protection of personal data of the User shall be governed by a separate Privacy Policy, which is published on the Website at the link: https://uz.uklon.eu/en/user-agreement-en/privacy-policy/ and the Mobile Application.

4. ONLINE SERVICE ACCESS

4.1 Access to the Online Service shall be provided to the User exclusively for personal non-commercial use, which allows the Users to order and plan transportation.

4.2 The Administrator shall provide the Partners with access to the Online Service “Uklon Driver” on a contractual basis for the purpose of processing and implementation of the Orders. In case of acceptance of the Order, the Partners shall provide the Services to the Users. The Administrator shall neither bear liability nor assume any obligations to the Users regarding the Services provided to the Users by the Partners, and shall not provide any warranties to the Users regarding the quality of such Services.

4.3 The Services shall be provided by the Partners on the basis of individual agreements between specific Users and Partners, to which the Administrator is not a party in any case.

4.4 The Administrator shall bear no liability for timing, content, relevance and quality of the Partners’ provision of information about the Services, availability of the Services at the moment, and the Administrator shall also bear no liability to the Users for possible negative consequences, damages caused to the User due to failure to provide or improper provision of the Services by the Partners.

4.5 In the event of ordering delivery services, the User shall undertake not to order delivery of items, transportation of which is prohibited by the applicable laws of the Republic of Uzbekistan. The User shall agree that in case of violation of this clause, he/she is responsible for all the possible risks and/or consequences that may arise in connection with the transportation of such items. At the same time, the Partners shall be entitled to refuse the User to provide the delivery service in case of detection of items, transportation of which is prohibited by the applicable laws of the Republic of Uzbekistan. The Administrator shall not provide delivery services and is not responsible for the provision of such services. The functions and responsibility of the Administrator in terms of cost and payment for delivery services shall be limited to determining the recommended cost of services, technical organization of the process of agreeing the price payable to the Partner, and communicating the agreed price to the Users. The Administrator shall not be responsible for payment for goods or services for which delivery services are performed.

4.6 The Website, Mobile Application, Online Service shall not be intended for placement of confidential information, restricted information, third party information, for placement of which the relevant permissions or powers have not been granted by the Administrator.

5. PECULIARITIES OF ORDER PROCESSING, PROVISION AND RECEIPT OF INDIVIDUAL SERVICES WHEN USING THE ONLINE SERVICE

5.1 When making an Order using the Online Service, the User accepts and confirms his/her understanding that the final cost of the Order may depend on the type of selected Services and individual Order Parameters, the application of which may occur during the creation of the Order, execution of the Order by the Partner and after the completion of the Order. Users can make an Order for the current time, as well as make a Preliminary Order for any time in the future.

5.2 During the execution of the Order for the Services, the Partner has the right to charge a fee for each minute of further waiting of the User(s), if such waiting exceeds 3 minutes from the moment of the Partner’s arrival at the place specified in the Order details, and if such waiting exceeds 7 minutes from the moment of the Partner’s arrival, the latter also has the right to refuse further provision of the Service under such Order. A dynamic coefficient may be applied to the User’s waiting time fee in accordance with clause 7.1. of this Agreement, which will be notified to the User in the Mobile application.

5.3 If the User fails to come out at the place specified in the Order within 7 minutes after the Partner’s arrival, the Partner has the right to demand additional compensation for the expenses incurred. These costs are related to the acceptance of the Order for the Services that were not provided due to the User’s actions or inaction. Also, if the User cancels the Preliminary Order after confirmation by the Partner or does not come out to receive it after arrival and waiting by the Partner within 7 minutes after the Partner’s arrival at the place indicated in the Order, the Partner is entitled to claim reimbursement of his/her expenses.

6. LIMITED ONLINE SERVICE ACCESS

6.1 When using access to the Online Service, the User may post information and objects of intellectual property rights, including, but not limited to: ratings, reviews, comments on the Online Service and/or Partners. In this case, when posting information and/or objects of intellectual property rights, the User shall warrant that it lawfully owns such information and/or objects of intellectual property rights or property rights to them, and/or has received all the necessary permits for posting such information and/or objects of intellectual property rights from third parties. In case of claims to the Administrator, the User shall settle such claims independently and at its own expense or compensate the Administrator for damages incurred by the latter in connection with the illegal placement of information and/or intellectual property by the User on the Website and/or Mobile Application.

6.2 The Administrator reserves the right to refuse to post, as well as at any time to remove/block the information and/or intellectual property objects posted by the User in case of establishing the fact of illegal possession of information, as well as intellectual property objects.

6.3 The Administrator shall neither commit actions nor bear liability for authenticity of information, accuracy and legality of posting information and/or objects of intellectual property rights on the Website and/or Mobile Application. The Administrator shall not check the information and objects of intellectual property rights posted by the Users, and shall bear no liability for their authenticity and legality.

6.4 The Administrator undertakes to notify the User of claims of third parties regarding the information and objects of intellectual property rights posted by the User. By using the Online Service, the User grants the Administrator the right to publish the information and/or intellectual property posted by the User or to remove it at its discretion.

6.5 The User undertakes not to use access to the Online Service to transmit, post or distribute by any means information, the content of which is illegal, threatening, defamatory, insulting, violates the right to intellectual property, spreads hatred and/or discrimination of people on any grounds, contains insults and claims against other Users, the Administrator or any third parties, in accordance with the Law of the Republic of Uzbekistan “On Principles and Guarantees of Freedom of Information”, the Constitution of the Republic of Uzbekistan and other relevant regulatory acts. It is also prohibited to distribute any information of erotic, sexual, and/or pornographic nature through the Mobile Application. If the Administrator incurs any damages related to the posting of illegal information by the User, the User shall reimburse losses to the Administrator in full.

6.6 Information and intellectual property objects posted by the User must not contain information, distribution and use of which violate both the legislation of the Republic of Uzbekistan and the rights of third parties.

6.7 When using access to the Online Service, the Users may not store, place, transmit or otherwise disseminate any information and/or objects of intellectual property rights, if such actions may infringe the rights of third parties, including the rights to personal data protection.

6.8 In the event the Users discover information and/or objects of intellectual property rights, the use of which is restricted or the rights to which belong to third parties, the User shall contact the Administrator and report violations, indicating the URL of the information and/or objects of intellectual property rights, which, according to the User, infringe the rights of third parties, and report the nature of such infringement.

6.9 When using access to the Online Service, the Users shall not be allowed to commit any actions that violate or may result in violation of the applicable laws of the Republic of Uzbekistan or laws of other state, in which the User is located, as well as the relevant international law.

6.10 Any materials received by the User using access to the Online Service, the User shall use at its own risk. The User shall be solely liable for any damage or losses that may be caused to the computer and/or data as a result of downloading and using these materials. At the same time, the Administrator reserves the right to suspend access to the Online Service or its part at any time in case of violation of these terms of this Agreement, or apply other measures to the User in order to comply with legal requirements or the rights and legitimate interests of third parties.

6.11. Subject to clause 2.4 the Administrator may block the User’s actions and suspend or terminate the User’s account in the following scenarios, including but not limited to situations where the User:

● Utilizes personal data of other individuals without appropriate authorization.

● Engages in irregular financial transactions.

● Maintains a negative account balance.

● Engages in spamming, generates fraudulent orders or accounts.

● Uses the account for purposes contrary to the provisions of the User Agreement.

● Violate and abuse the terms of “UKLON RIDER” Loyalty Programme.

● Executes abnormal actions that result in the deterioration of the Online Service or disrupts the work of Drivers.

● Exploits the trust of the Administrator, attempting to alter Trip conditions for personal gain.

● Misuses promotions, discounts, and programs, and fails to adhere to their rules.

● Falsifies data of the distance of the trip.

● Utilizes bots or automated mechanisms for using the Online Services.

● Is involved in the transportation or delivery of prohibited goods.

● Uses forged documents to create an account.

● Displays disrespectful behavior towards Drivers, other Users and staff or representatives of the Administrator.

● Carries out other malicious actions that pose financial and reputational risks for the Administrator.

The aforementioned cases, subject to clause 6.9 along with the potential violation of legal provisions, rules, and human rights, as well as the potential for claims against or liability for the Administrator due to the User’s actions, may prompt the Administrator to take such measures.

6.12. Users may contact the support team and submit a request for the removal of the account suspension or blocking, thus restoring access to the Online Services. Subsequently, the Administrator may initiate an investigation and make a decision on the request. If the result is unfavorable, the Administrator is not obligated to provide reasoning for the decision.

6.13. If the User repeatedly cancels Order requests within a 24-hour timeframe, their account may be subject to automated temporary blocking as a warning. Following multiple warnings of this nature, the account could face a more extended suspension period. If automated blocking occurs, the account cannot be reactivated by the Administrator until the designated blocking period has elapsed.

7. PAYMENT FOR SERVICES, PROMOTIONAL CODES

7.1 Payment for the Services of the Partners shall be made by the User in accordance with the relevant tariffs placed in the Mobile Application and, at the discretion of the Administrator, on the Website. During periods of increased demand/supply for the Services (depending on road, weather conditions, time of day, etc.), a dynamic ratio may be applied, i.e., the User is offered the recommended cost of the Services. The dynamic factor is automatically calculated and edited in real time. The User has the right to manage the recommended cost of the Services within the given parameters of the Online Service or agree with the recommended cost of the Services by confirming the Order. When changing the route or long waiting for a passenger, the cost of the Services shall be recalculated according to the tariffs. If the route of the Order that has already been accepted by Uklon Partner is changed, the cost of the Services cannot be recalculated to be decreased.

7.2 The User shall pay for the Services directly to the Partner. When paying in cash, the User transfers cash to the Partner who provided the Service. When paying by non-cash means, Uklon acts as a commercial agent (commissioner) of the User and fulfils the Partner’s instruction to receive funds for the completed Orders and send the corresponding funds to the Partner who provided the Service.

7.3 The User may pay for the Services of the Partner using bank card through the Mobile Application. The Administrator shall not store and shall not transfer Users’ bank card data to unauthorized third parties.

7.4 Payment for the Services to the Partners may also be made by the User through the Mobile Application using Google Pay, Apple Pay, provided that the relevant mobile applications are downloaded to its mobile device.

7.5 The User, in addition to paying for the Services to the Partners in case of payment by bank card or Google Pay, Apple Pay, shall have the possibility to leave tips to the Partners (funds in excess of the Service fee) upon completion of the Services if the User rates the Partner’s implementation of the Order between 4 and 5 stars.

7.6 Functions and responsibility of the Administrator in terms of cost and payment for the Services shall be limited to determination of the recommended cost of the Services, technical organization of the process of agreeing the price payable in favor of the Partner for the Services, communication of the agreed price to Users and information assistance in ensuring the acceptance of payments with the use of bank cards from Users. Acceptance and transfer of payments with the use of bank cards shall be carried out by the relevant payment systems authorized to provide relevant services.

7.7 The Administrator, during promotional activities and promotions aimed at increasing the interest of the Users in the Online Service and in order to attract the new Users, may provide the Users with promotional codes in accordance with “UKLON RIDER” Loyalty Programme, which the Users have the possibility to use when making the Orders; to use the promotional code the User shall enter it in the Add promotional code field in the Mobile Application.

7.8 The User shall agree that promotional codes may not be copied, sold, transmitted or disclosed; promotional codes may be used only in accordance with certain conditions set for such promotional codes in accordance with “UKLON RIDER” Loyalty Programme; promotional codes are not subject to exchange or return, in case of loss promotional codes are not restored; promotional codes may be invalidated or revoked by the Administrator subject to the conditions set for in relevant promotional rules; replacement of promotional codes with money or any other good is not allowed; only one promotional code may be used per trip.

7.9 Payment for the Services to the Partners may also be made by the User using the balance (“Balance”) in the Payment section of the Mobile Application. Balance is a special feature of the Mobile Application where the amounts of virtual funds may be available to the User because:

● The User has withdrawn from using the Services purchased through the Mobile Application, and the amounts paid by the User by bank card have been refunded to the User by crediting these amounts to the Balance. In case of payment by bank card, the refund amount will be equal to the payment amount;

● Amounts have been made available to the User due to other reasons at the discretion of the Administrator.

7.10 The User shall not claim that any funds available on the Balance would be returned to them, redeemed in cash or made available to them in any other way than for paying for the Services.

7.11 The User shall not claim that any funds available on the Balance would be transferred to a third party or otherwise made available to any third party in any other way than for paying for the Services.

7.12 The funds on the Balance shall not be deemed as electronic money, deposits or otherwise as funds, which the Administrator holds on the User’s behalf.

7.13 The funds on the Balance are available for the use only on the territory of the Republic of Uzbekistan.

7.14 The Administrator may debit the Balance for any amounts which the User owes as a result of the use of the Mobile Application and the consequent payment even in case they have not selected the Balance as the default payment method.

 8. RIGHTS AND WARRANTIES OF ADMINISTRATOR

8.1 The Administrator shall warrant that it owns all appropriate and necessary intellectual property rights to carry out its functions and provide Users with access to the Online Service and Mobile Application in the territory of the Republic of Uzbekistan, in particular, but not limited to, intellectual property rights to: Online Service, Mobile Application , any of their components, including program code, other electronic data in the form of numbers, letters, symbols, images and their combinations, design elements, text, graphics, illustrations, video information and other intellectual property.

8.2 This Agreement does not provide for the transfer of proprietary rights to any third party in the Online Service, Mobile Application or their components. The Administrator shall grant the User a non-exclusive intellectual property right to use the Online Service and the intellectual property rights included therein, in particular to their reproduction, in whole or in part, on its own computer and/or mobile device, in one copy for each device, public performance and public display.

8.3 The conclusion hereof shall not infringe the intellectual property rights of any third party. In the event of any claims or lawsuits of third parties regarding the User’s use of access to the Online Service, the Administrator shall undertake to settle such claims or lawsuits independently and at its own expense.

 9. LIMITED LIABILITY OF ADMINISTRATOR

9.1 The Administrator shall bear no liability for any damage to life and health, any direct and/or indirect damages, material and/or non-material damage, obligations or losses incurred as a result of use or non-use by the User of access to the Online Service, data placed on the Site and/or Mobile Application, due to the inability to access the Online Service or use such access; in connection with the non-provision or improper provision of the Services to the Users by the Partners; any actions or omissions of the Partners; the presence or absence of any powers, permits, licenses, approvals for the Partners, the presence or absence for such persons of special legal status, etc.; unauthorized dissemination, alteration or destruction of the Users’ information due to the use of access to the Online Service.

9.2 The Online Service, Website, Mobile Application shall be provided for use by the Users on the “as is” basis. The Administrator shall bear no liability to the User for ensuring that the Online Service, Website, Mobile Application meet the expectations of the User and/or access to the Online Service is provided uninterruptedly, reliably, without errors. The Administrator shall bear no liability for making changes, temporary or complete termination of the Online Service, Website, Mobile Application or any part thereof and/or access to the Online Service. Functioning of the Online Service and access to it may be limited or temporarily terminated due to force majeure and other factors, prevention or overcoming of which is beyond the capabilities of the Administrator.

9.3 The Administrator shall always be ready to take into account the wishes and suggestions of any User of the Online Service, Website, Mobile Application regarding their operation.

10. FINAL PROVISIONS

10.1 This Agreement shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Issues not regulated herein shall be resolved in accordance with the applicable laws of the Republic of Uzbekistan.

10.2 All possible disputes arising from the relations regulated herein shall be settled in accordance with the procedure established by the applicable laws of the Republic of Uzbekistan. Claims, applications, complaints and any other procedural documents filed with courts or other bodies on disputes arising from this Agreement shall be considered by courts or relevant bodies at the location of the Administrator. Throughout the text hereof, unless explicitly stated otherwise, the term “laws” shall mean the laws of the Republic of Uzbekistan.

10.3 Nothing herein shall be construed as establishing between the User and the Administrator an agency relationship, power of attorney, partnership relationship, joint venture relationship, employment relationship or any other relationship not expressly provided for herein.

10.4 If for any reason one or more of the provisions hereof are declared invalid or unenforceable, this shall not affect the validity or enforceability of the other provisions hereof.

10.5 Omissions on the part of the Administrator in case of violation by any User hereof shall not deprive the Administrator of the right to take the relevant actions to protect its interests later, and shall not determine the waiver of the Administrator’s rights in case of further similar or alike violations.

10.6 This Agreement is made in the Russian language, but is provided for reading to the Users in Uzbek and English languages. In case of discrepancies between the terms and conditions hereof in Russian and its Uzbek and English translations, only the Russian version of the document published at: https://uz.uklon.eu/ru/user-agreement-ru/пользовательское-соглашение/, tab “User Agreement”, shall prevail.

This Privacy Policy (hereinafter referred to as the “Privacy Policy”) was developed by Foreign Enterprise in the form of Limited Liability Company “UKLON UB”, TIN 310448243, with the legal address: 100060, Republic of Uzbekistan, Tashkent city, Mirabad district, T. Shevchenko street, 34, office 306 (hereinafter referred to as “We” in the appropriate cases), which is the operator and owner of personal data in accordance with the Law of the Republic of Uzbekistan “On Personal Data” No. ЗРУ-547 dated July 2, 2019 (hereinafter referred to as “the Law”) and regulated by this Law.

Consistent and effective protection of Your personal data is one of Our priorities, so We make every effort to keep Your personal data safe.

With this Privacy Policy, we would like to inform You about what personal data we process and how we process it, as well as the purposes and means of personal data processing and protection.

In Privacy Policy, the following terms are used with the following meaning:

· Personal data means information recorded on electronic, paper and (or) other tangible media relating to a certain individual or enabling his/her identification;

· Processing of personal data means implementation of one or a set of actions for collection, systematization, storage, modification, amendment, addition, use, provision, distribution, transfer, depersonalization, and destruction of personal data;

· User (personal data subject) means any fully capable individual who placed an Order using the Mobile Application “Uklon”, to whom the personal data refers;

· Order means the User’s request to receive Partner’s services on passenger transportation by passenger vehicle, baggage delivery, as well as other services, which from time to time may be available through the Mobile Applications “Uklon” and “Uklon Driver”, structured according to the necessary details;

· Agreement means the Public Offer for providing access to Uklon Service, placed via the link: https://uz.uklon.eu/en/privacy-policy-en/, tab “Public Offer for Partner”.

· Services mean services for the transportation of passengers by passenger vehicle, baggage delivery, and other services as may be available from time to time through the Mobile Applications “Uklon” and “Uklon Driver”. Nothing in this Privacy Policy implies or means that We provide or may provide the Services.

· Website means a web page on the Internet at www.uz.uklon.eu. Website is the result of computer programming, referring to software products;

· Mobile Application means a copy of a computer program in the form of a mobile application for iOS, Android electronic devices titled “Uklon” or “Uklon Driver”, which is provided by Us to the User or Partner, respectively, as a tool to access the online services of “Uklon” or “Uklon Driver”.

· Third party means any person who is not the personal data subject, the owner and (or) the operator, but is related to them by circumstances or relations of personal data processing.

· UKLON RIDER” and “UKLON DRIVER” Loyalty Programs are marketing activities of Uklon aimed at attracting Users and Partners, increasing their activity in using the Uklon Mobile Applications and Uklon Driver, recognition and loyalty of Users and Partners to the Uklon brand. The terms and conditions of participation in the Loyalty Programs are available at the links https://uz.uklon.eu/ru/user-agreement-ru/uklon-rider/ and https://uz.uklon.eu/ru/user-agreement-ru/uklon-driver respectively, and define the procedure and terms of the Loyalty Programs, interaction of the parties within the framework of their implementation and receipt of remuneration. When we use the term “Loyalty Program” hereinafter in the singular, We mean the Loyalty Program “UKLON RIDER” or “UKLON DRIVER”, depending on the context.

· Didox-S means a platform for electronic document management, placed via the link https://ds.didox.uz, intended for collection, storage, processing, transfer of the information and organization of legally valuable electronic document management between legal entities and physical persons, used by Uklon within the provision of services on realization of the software by means of providing access to the Online Service “Uklon Driver” to the Partners via the Internet.

This Privacy Policy applies to all types of personal data of Users and Partners that We collect and process through the Website, Mobile Applications, and other sources specified below in this Privacy Policy. By using the Website and registering for the Mobile Application “Uklon” or “Uklon Driver”. You acknowledge, warrant and represent that You have read and understood this Privacy Policy and expressly consent to Our processing of Your personal data in accordance with this Privacy Policy. If You do not agree to this Privacy Policy in its entirety, do not use the Website and/or Mobile Applications.

We may supplement or otherwise modify this Privacy Policy from time to time. We may make changes to this Privacy Policy, supplement it or otherwise change this Privacy Policy from time to time without prior notice to You, so We recommend that You regularly check this Privacy Policy on the Website and in the Mobile Applications and thereby agree to any changes to this Privacy Policy. We may notify You of any material additions or changes to this Privacy Policy. If You do not agree to any material or other additions or changes made or may be made in the future, do not use the Website and/or Mobile Applications.

This Privacy Policy is made in the Russian language but is provided for reading to the Users in Uzbek and English languages. What personal data do we process?

Personal data that You provide to Us

A) Users of the Mobile Application “Uklon”.

We process the personal data that You provide to Us, namely:

· Your phone number, which is provided in a mandatory manner when registering in the Mobile Application “Uklon”;

· Your name, gender, date of birth, which are provided voluntarily when registering for the Mobile Application “Uklon” or after such registration.

We also process Your personal data in cases where You need to contact Our customer support service or contact Us through other channels (for example, through social networks).

There are other cases when You provide us with personal data. You can create an account in the Mobile Application “Uklon”, which allows You to save personal settings, view previous orders, plan future orders, and manage current ones.

In order to register an account, you will need to provide us with a certain amount of personal data. At the first stage of registration, you will provide us with a contact telephone number, which will be used for registration. At this stage, you will have the opportunity to familiarize yourself with this Privacy Policy. Once you have provided your phone number, we will be authorized to use this number to send you messages (sms, push messages) and to make calls. In particular, such messages and calls may take place in case of unsuccessful registration (for example, when you have not completed the registration process) or in order to confirm or clarify certain registration information.

By participating in promotions or giveaways including those under the applicable Loyalty Program You will also provide us with Your personal data. In addition, You may send us feedback about the Website and the Mobile Application “Uklon”, share Your opinions, or ask for help using the Website or the Mobile Application “Uklon”.

B) Partners (users of the Mobile Application “Uklon Driver”).

We process the personal data that You provide to Us on a mandatory basis, namely:

· name, surname, tax number, phone number, address, e-mail, information about the vehicle (make, model, year of manufacture, color, state registration license plates), vehicle registration certificate data, data of the Partner’s identity document (passport, identity card, residence permit or other document), data of the license card for urban transportation of the passengers by vehicles, data of the Partner’s driver’s license, data on the bank accounts of the Partner, used for paying Uklon Fee and Bonuses accrual within the framework of the applicable Loyalty Program, as well as six (6) printed photos of the vehicle, when concluding with Us by acceptance of the Public offer to provide access to the Uklon service and terms of its promotion.

We also process Your personal data in cases where You need to contact Our customer support service or contact Us through other channels.

There are other cases when You provide us with personal data. You can create an account in the Mobile Application “Uklon Driver”, allowing You to save personal settings, upload photos, view completed orders, etc.

In order to register an account, you will need to provide us with a certain amount of personal data. At the first stage of registration, you will provide us with a contact telephone number, which will be used for registration. At this stage, you will have the opportunity to familiarize yourself with this Privacy Policy. Once you have provided your phone number, we will be authorized to use this number to send you messages (sms, push messages) and to make calls. Data We process automatically

We may automatically process certain data, including Your IP address, the date and time You used the Services, information about the hardware, software and Internet browser You use, and information about the operating system of Your computer, mobile or other device (such as application versions and language settings). We may also collect click information and pages that We have displayed. By doing so, You consent to the automated processing of personal data.

If You use a mobile device, We may also receive data identifying that device, its settings and characteristics, location data, application crashes, other system operations, and Your advertising identifiers. When You place an order through the Mobile Application, Our system records by which means it was made or from which websites You went to the Mobile Applications.

Mobile applications can access various services and data of Your mobile device, including but not limited to the phone book (contacts), location and external data storage devices (memory cards). In any case, access to the services of Your mobile device is possible only in case of providing Your separate and unambiguous consent in response to Our push message.

The above types of information may not always contain personal data (that is, data that identifies or can identify You). Some of this information may instead constitute non-personal data (that is, data that does not and cannot identify You).

Users of the Mobile Application “Uklon”.

Of course, You can make an order not only for Yourself. You can order a transportation service for any person by providing Us with their phone number and name. In addition, when ordering a delivery service, You provide us with the personal data of the recipient of the shipment: phone number and delivery address. However, in this regard, We must note that You are responsible for ensuring that the person whose personal data You have provided knows that You have done so, understands and agrees to the manner in which You use Your personal data (as set out in this Privacy Policy).

To do this, You are obliged to share in advance a link to this Privacy Policy available on the Website with such a person, and hereby You confirm that You have done so, obtained the unequivocal consent of the such person to the processing of his/her personal data in accordance with the conditions set forth herein Privacy Policy, and will provide such consent to Us upon request.

Information obtained from third parties and from other sources

This information may include user feedback such as ratings or compliments, information from users or others who provide information in connection with claims or disputes, information from financial partners (financial service providers), and information from publicly available sources. A) Users of the Mobile Application “Uklon”

– Placement of orders: We use Your personal data for the purpose of placing orders for passenger transportation and/or delivery in the Mobile Application “Uklon” and for the transfer of Your personal data to Partners in order for the Partners to fulfil the respective orders. We may transfer Your personal data to Partners in other cases only with Your separate consent.

– Customer Support: We provide 24/7 customer support. With Your personal data, the support team can help You with orders and answer related questions, as well as any other questions.

– Account: users can create an account in the Mobile Application. We use the information You provide to us to manage Your account.

— Marketing: We also use Your personal data (phone number and e-mail address) to send information, surveys, newsletters, advertising and promotional materials. When participating in promotions, the relevant information will be used to manage these promotions including those under the applicable Loyalty Program. We also post information, newsletters, advertising and promotional materials on the Mobile Application and/or Website.

You have the right to refuse to receive information, newsletters, advertising and promotional materials by sending a corresponding message to the e-mail address: uz.uklon1@uklon.eu.

– Communicating with You: We may also contact You about other matters by e-mail, telephone and electronic messages, depending on the type of contact information You have shared with Us. We also make every effort to process all requests that You send to us.

– Call tracking: when You call the support service, we use an automatic number identification system to identify Your phone number with Your order – this will help both You and us save time. Conversations with support service employees can be listened to in real-time or recorded for the purpose of monitoring the quality of service provision and further training of Our team. Records are stored for a limited period of time in accordance with the purpose of their processing and are deleted automatically, except when We consider it necessary to keep them for a longer period (if necessary, including for the purpose of investigating cases related to violations of the law). All recordings of telephone conversations will be used in accordance with this Privacy Policy. Hereby, You give Your unequivocal consent to the listening and recording of telephone conversations and the processing of relevant personal data by Us.

– Use of Your mobile device services: The Mobile Application “Uklon” may access various services and data of Your mobile device, including but not limited to phone book (contacts), location and external data storage devices (memory cards). Access to the services of Your mobile device is possible only if You give Your separate and unambiguous consent in response to Our push message.

· Phone Book (Contacts) Section: Access to this section is required for You to place an order for any other person by providing Us with their phone number from Your Phone Book. We do not transfer phone book data to third parties, except for the transfer to the Partner of the phone number of the person for whom transportation is ordered, for the purpose of fulfilling the order for this person, and we do not use it in any other way than in connection with the use of the Mobile Application “Uklon” as provided for in this Privacy Policy.

· “Location” section: We get access to Your location in order to ensure the quality of service provision, in particular, to demonstrate the location of the car that will fulfil Your order. We do not transfer this data to third parties, except in cases where there is a possibility of a threat to Your life or health during the trip and only after You have pressed the SOS button in the Mobile Application “Uklon”

· Memory card recording section: We may record some technical temporary data (cache) related to Your order on Your phone’s memory card. We do not transfer this data to third parties and do not use it in any other way than to ensure the smooth functioning of the Mobile Application “Uklon” .

– Protection of Your life and health during transportation: We may transfer Your personal data (name, surname, phone number, travel route and location) to emergency services in order to save Your life or health and/or prevent the threat of accident harm to Your life or health during the trip if You pressed the SOS button in the Mobile Application “Uklon”.

– Legal purposes: We can use Your personal data to process and transfer them to competent authorities only in cases provided for by the current legislation of the Republic of Uzbekistan.

B) Partners (users of the Mobile Application “Uklon Driver”)

– Fulfillment of orders: We process Your personal data, if You have accepted an order for transportation and/or delivery, to transfer them to the user of the Mobile Application “Uklon”.

– Partner support service: We provide support for Partners. With Your personal data, the support team can help You with orders and answer related questions, as well as any other questions.

– Account (personal account): We use the information You provide to us to manage Your personal account in the Mobile Application “Uklon Driver”. We securely store and do not transfer to third parties data related to settings and statistical information contained in the Mobile Application “Uklon Driver” (settings of filters and order selection algorithms, statistics of completed orders, etc.).

– Marketing: We also use Your personal data to send information, surveys, newsletters and advertising materials. When participating in promotions, the relevant information will be used to manage these promotions including those under the applicable Loyalty Program.

Access to the services of Your mobile device is possible only if You give Your separate and unambiguous consent in response to Our push message.

· Location section: We get access to Your location in order to ensure the quality of service provision, in particular, to provide up-to-date information about orders that are placed near Your location, as well as ensuring security, prevention and detection of fraud cases. Data regarding Your location is processed when the Mobile Application “Uklon Driver” works in priority (opened and displayed on the screen) or background (opened but not displayed on the screen) mode. In order to stop processing Your location data, You must close the Mobile Application “Uklon Driver”. In any case, we do not transfer data about Your location to third parties.

· Memory card recording section: We may record some technical temporary data (cache) related to Your use of the Mobile Application “Uklon Driver” on the memory card of Your phone. We do not transfer this data to third parties and do not use it in any other way than to ensure the smooth functioning of the Mobile Application “Uklon Driver”.

– Search for belongings left in the car: We transfer Your name and phone number to users of the online service “Uklon” in order to help them return personal things left in the car during transportation.

We can transfer Your phone number to users of the online service “Uklon” in other cases only if we receive Your separate consent.

– Accounting purposes: We use Your surname, name, phone number, as well as tax number for the purpose of accounting and tax accounting of the services provided to You, inclusively with the use of Didox-S platform for electronic document management.

– Legal purposes: We can use Your personal data to process and transfer them to competent authorities, inclusively with the use of Didox-S platform for electronic document management,only in cases provided for by the current legislation of the Republic of Uzbekistan.

How do we transfer Your personal data to third parties?

Under certain circumstances, We may transfer Your personal data to third parties.

Any transfer of Your personal data, which is carried out on the basis of Your consent to the processing of personal data in accordance with this Privacy Policy, will not require Your separate consent or provide You with a separate notice.

A) Users of the Mobile Application “Uklon”.

– Placement of orders: We transfer Your personal data to the Partners for the purpose of the Partners fulfilling Your orders. In other cases, at the written or verbal request of the Partner, We can transfer Your phone number to the Partner only in case of receiving Your separate consent.

– Third-party service providers: We may use the services of third parties to process Your personal data on our behalf, who will be considered personal data operators within the meaning of the Law. This processing takes place for various, but always legitimate purposes, for example, to send information and advertising materials on Our behalf and in Our interests. Independent service providers agree to mandatory confidentiality and may not use Your personal data for other purposes. We do not transfer Your personal data to third parties for sending information and advertising materials on behalf and in the interests of persons other than Us.

– Competent state authorities: We transfer personal data to law enforcement, tax, fiscal, and other competent authorities to the extent and in those cases required by the current legislation of the Republic of Uzbekistan, in particular, if it is necessary to prevent, detect or stop criminal acts and fraud. In addition, personal data in the appropriate amount may be transferred to competent authorities to protect Our rights or property, as well as the rights and property of Partners.

– Protection of Your life and health during transportation: We may transfer Your personal data (name, surname, phone number, travel route and location) to emergency services in order to save Your life or health and/or prevent the threat of accident harm to Your life or health during the trip if You pressed the SOS button in the Mobile Application “Uklon”.

B) Uklon Partners (users of the Mobile Application “Uklon Driver”)

– Fulfillment of orders: We transfer Your personal data to users of the Mobile Application “Uklon” whose orders You fulfil.

– Third-party service providers: We may use third-party services to process Your personal data on Our behalf. This processing takes place for various purposes, for example, for sending informational materials on Our behalf and in Our interests. Independent service providers agree to mandatory confidentiality and may not use Your personal data for other purposes.

– Competent state authorities: We transfer personal data to law enforcement, tax, fiscal, and other competent authorities to the extent and in those cases required by the current legislation of the Republic of Uzbekistan, in particular, if it is necessary to prevent, detect or stop criminal acts and fraud. Your personal data in the appropriate amount may also be transferred to competent authorities to protect Our rights or property, as well as the rights and property of users of the Website and/or Mobile Application “Uklon”. In addition, as part of performance of the legislation requirements of the Republic of Uzbekistan on integration of the Online Service “Uklon Driver” with the electronic information base of the State Tax Committee of the Republic of Uzbekistan, as well as the unified interactive information system “Uztrans”, Uklon transfers to the competent authorities information about settlements made with You within the performance of the Agreement, which may contain Your personal data.

– Search for things left in the car: at the written or verbal request of the users of the Mobile Application “Uklon”, we give them Your name and phone number in order to help them return personal things left in the car during transportation. In other cases, at the written or verbal request of users of the Mobile Application “Uklon”, we can transfer Your phone number to them only if we receive Your separate consent.

– Financial partners: We transfer personal data specified by You during registration in the Mobile Application “Uklon Driver”, data contained in Your personal account, the history of completed Orders containing Your personal data, as well as data confirming the fact of communication with You regarding the trips made, to include, but not limited to, screenshots of e-mail correspondence and other means of communication at the relevant requests of financial partners – providers of financial services. You hereby consent to the transfer of screenshots of the correspondence specified by Us to financial companies and confirm that such transfer will not constitute a violation of the confidentiality of the correspondence;

Platforms for electronic document management: within the provision of Services on realization of the software by means of providing access to the Online Service “Uklon Driver” to You, Uklon uses Didox-S platform for electronic document management for transfer through the platform of the information about settlements made with you to the competent authorities and automatic generation of necessary payment documentation. For the mentioned purposes, Uklon transfers to Didox-S platform a data on a history of the Orders completed by You, as well as Your personal data: name, surname, phone number, tax number.

Why do we get Your consent and how can it be withdrawn?

In cases determined by the legislation of the Republic of Uzbekistan, You give Your unequivocal consent to the processing of Your personal data by Us in accordance with this Privacy Policy. Consent to the processing of personal data is given by You to carry out any actions regarding personal data that are necessary to achieve the above goals, including, but not limited to: collection, systematization, accumulation, storage, adaptation, clarification (updating, changing), use, distribution (including through implementation or transfer), cross-border transfer, depersonalization, blocking, destruction, as well as carrying out any other actions with personal data in accordance with the current legislation of the Republic of Uzbekistan.

When processing personal data, We are not limited in the application of our processing methods. Processing of personal data is carried out using automation tools.

For the users, the following types of personal data can be processed only on the basis of Your separate, explicit, specific and freely given consent in response to Our push message: location, phone book (contacts), and memory card recording. You may withdraw such separate consent at any time. If You have withdrawn Your consent, You will not be able to use any services or functions that require the processing of personal data that we have collected on the basis of separate consent.

You may withdraw Your consent to the processing of the personal data that we have obtained on the basis of your consent by sending an email to: uz.uklon1@uklon.eu. Please include “Revocation of Consent” in the subject line of Your message to expedite Our response.

We have the right not to delete or destroy personal data if the processing of such personal data is necessary for the fulfillment of obligations under the laws of the Republic of Uzbekistan or for the protection of Our legitimate interests or the legitimate interests of persons to whom the personal data may be disclosed, in particular for fraud prevention purposes.

Please note that because some of your personal data required to, among other things, provide access to the Uklon Online Service and/or the Uklon Driver Online Service, your account may be blocked or deleted upon withdrawal of consent to the processing of that personal data.

Personal data of users of the Mobile Application “Uklon”, without which it is impossible to provide access to the Mobile Application “Uklon”:

· phone number.

Personal data of the Partners (users of the Mobile Application “Uklon Driver”), without which it is impossible to provide access to the Mobile Application “Uklon Driver”:

· name, surname, phone number, tax number, details of the vehicle registration document, details of the Partner’s identity document, details of the Partner’s driver’s license, data of the license card for urban transportation of the passengers by vehicles, data on the bank accounts of the Partner, used for paying Uklon Fee and Bonuses accrual within the framework of the applicable Loyalty Program.

If You withdraw Your consent to the processing of personal data other than those specified above, which are necessary for the use of the respective service, Your account remains active. We will always try to identify the request to ensure that it is coming from the account owner. If We cannot successfully identify the request, We will not be able to withdraw consent.

If You are an Uklon Partner (user of the online service “Uklon Driver”) and revoke Your consent to processing or ask Us to delete personal data, a certain part of the data received from You will remain in processing for some time, even after account deletion and termination of cooperation, namely: phone number; driver’s license number and its validity period; surname, first name, patronymic; date of birth; passport number and residence registration document (if available in Your account). This is due to the fact that the relevant Contract is concluded between the Uklon Partners and Us by accepting the public offer. In accordance with the law, the primary legal basis for the processing of personal data, in such a case, is the conclusion and execution of a transaction to which the personal data subject is a party or which is concluded in favor of the personal data subject or for the implementation of measures preceding the conclusion of the transaction at the request of the personal data subject. And this is not the only legal basis for processing Your Data. In particular, We are obliged to comply with certain requirements of the tax law regarding the payment and assessment of the relevant taxes and levies in respect of the funds received (the legal basis for processing is the need to fulfill the obligation of the personal data controller provided for by law). In addition, in certain cases, in particular when We detect signs of fraudulent actions or other questionable actions on the part of the Partner or third parties that violate applicable law or the concluded Agreement, or there are unresolved claims or disputes between Us and the Partner, We have the need to protect the legitimate interests of the personal data controller or the third party to whom the personal data is transferred (unless the need to protect the fundamental rights and freedoms of the personal data subject arises).

What are Your rights to Your personal data?

Under Section 8 of the Law, You have the right to:

· to know about the sources of collection, the location of your personal data, the basis of the purpose of their processing, the location or residence (domicile) of the operator or the owner of the personal data, the applied methods of personal data processing, the composition of the processed personal data, the terms of personal data processing, including the terms of their storage;

· to receive information about the conditions for providing access to personal data, in particular, information about third parties to whom Your personal data is transferred, information on performed or intended cross-border transfer of personal data;

· to access Your personal data;

· to receive no later than thirty calendar days from the date of receipt of the request, except in cases provided by law, an answer about whether Your personal data is being processed, as well as to receive the content of such personal data;

· to present a reasoned demand to the owner of personal data with an objection to the processing of your personal data;

· to make a reasoned demand for the change or destruction of his/her personal data by any operator and owner of personal data, if such data is processed unlawfully or inaccurately;

· to demand protection for Your personal data from illegal processing and accidental loss, destruction, damage due to intentional concealment, failure to provide or untimely provision of them, as well as protection from providing information that is unreliable or disgraces the honour, dignity and business reputation of an individual;

· to file complaints about the processing of Your personal data with the relevant authority or the court;

· to apply legal remedies in case of violation of the legislation on the protection of personal data;

· to withdraw consent to the processing of personal data.

How can You control the personal data provided to Us?

Personal data retention periods:

Your personal data is stored for the period necessary to achieve the purposes of processing, with the exception of data about IP address, which are stored for three weeks from the moment of placing the Order. If Your account is deleted, Your personal data will be erased from our database when the purpose of processing personal data as defined in this Policy has been achieved, unless there are legal grounds to continue processing it.

Once the processing purposes have been achieved, we anonymize (depersonalize) Your personal data so that it can no longer be linked to You personally. In this case, We will be able to use this information for the targeting of advertising and/or informational materials, for statistical, analytical or research purposes, without further informing You, since such information will cease to constitute personal data.

Deleting the Mobile application on Your device does not lead to the deletion of Your personal data.

If You exercise Your right to delete Your personal data, we will delete Your personal data that we have processed for the purpose to which You have objected, without delay, in the absence of another legal basis for the storage and processing of this data or the requirement to store this data provided by the applicable legislation.

Location of Your personal data:

We care about the security of Your personal data and therefore we store Your personal data on servers located in in the Republic of Uzbekistan.

We can too transfer Your personal data given to other countries, but only for purposes of processing data provided hereby or valid legislation. Настоящие Условия участия в Программе лояльности “UKLON DRIVER” (далее по тексту также – “Условия”) определяют порядок и условия проведения Программы лояльности, взаимодействия сторон в рамках ее проведения и получения вознаграждения. Настоящие Условия опубликованы ИП ООО “UKLON UB”, ИНН 310448243, местонахождение: 100060, Республика Узбекистан, г. Ташкент, Мирабадский р-н, ул. Т. Шевченко, 34, офис 306, как организатором и являются публичной офертой в понимании статьи 369 Гражданского кодекса Республики Узбекистан – публичным предложением заключить договор, адресованным дееспособным физическим лицам – Пользователям. Путем публикации настоящих Условий ИП ООО “UKLON UB” выражает намерение считать себя заключившим договор с Пользователем, акцептировавшим предложение в порядке, определенном настоящими Условиями.
1. Определения и термины.
Термины и определения, которые употребляются в настоящих Условиях, имеют следующее значение:
1.1. Авторизация – процесс получения Пользователем доступа к Мобильному приложению “Uklon Driver”, Онлайн-сервису “Uklon” и создания Учетной записи в соответствии с пунктом 3.4. Оферты для партнера.
1.2. Баланс Учетной записи и/или Баланс – составляющая информации в Учетной записи, отражающая требования Пользователя к Компании и Компании к Пользователю, возникающие в рамках сотрудничества согласно Оферты для партнера. Баланс обновляется в режиме реального времени в соответствии с операциями Пользователя в Онлайн-сервисе, носит технический характер и не имеет статуса расчетного или банковского счета.
1.3. Веб-сайт – совокупность данных, электронной (цифровой) информации, связанных между собой и структурированных в пределах адреса веб-сайта, доступ к которым осуществляется через адрес в сети Интернет https://uz.uklon.eu/. Веб-сайт является результатом компьютерного программирования, что относится к программной продукции.
1.4. Вознаграждение – начисление бонусов на Баланс Учетной записи Пользователя за выполнение условий действующих бонусных программ и персональных бонусных начислений.
1.5. Заказ – запрос Пассажира на получение Услуг по перевозке пассажиров легковым транспортным средством, перевозке малогабаритных грузов легковым транспортным средством, или на иные услуги, которые время от времени могут быть доступны посредством Мобильного приложения, структурированный по необходимым реквизитам.
1.6. Компания и/или Организатор – Иностранное предприятие в форме Общества с ограниченной ответственностью “UKLON UB”, ИНН 310448243, местонахождение: 100060, Республика Узбекистан, г. Ташкент, Мирабадский р-н, ул. Т. Шевченко, 34, офис 306, которое является организатором Программы и обладает исключительными правами объявления, проведения, изменения условий и прекращения Программы.
1.7. Мобильное приложение “Uklon Driver” и/или Мобильное приложение – копия программы для ЭВМ в виде мобильного приложения для электронных устройств iOS, Android под названием “Uklon Driver”, которая предоставляется Пользователю в качестве инструмента для доступа к Онлайн-сервису “Uklon” в качестве перевозчика.
1.8. Несанкционированное участие в Программе – участие в Программе с нарушением ее условий и требований, в том числе, но не исключительно, нарушение требований, предъявляемых к Участнику Программы, участие в Программе в результате несанкционированного вмешательства в работу автоматизированных систем, компьютерных сетей, стационарных и/или переносных устройств, пригодных для доступа к телекоммуникационным сетям, выполнение штучных Заказов по предварительному сговору с Пассажиром с целью необоснованного получения Вознаграждения и другие действия направленные на необоснованное получение Вознаграждения, выполненные с нарушением положений настоящих Условий и цели Программы.
1.9. Онлайн-сервис “Uklon” и/или Онлайн-сервис – технологическая платформа, состоящая из Мобильного приложения и взаимосвязанного набора программ ЭВМ и электронных данных в виде цифр, букв, символов, изображений и их сочетаний (включая графическую информацию, видеоинформацию, и т. д..), предназначенная для автоматизированного контроля, сбора, обработки, распространения, хранения и представления данных о Заказах, размещенных на нем Пассажиром, автоматического расчета стоимости Заказа с учетом соотношения спроса и предложения, погодных условий, маршрута, загруженности и прочих факторов, которая автоматически строит маршруты и обеспечивает обмен данными для связи Пользователя с Пассажиром, позволяет Пассажиру размещать и изменять, а Пользователю подтверждать или отклонять соответствующие Заказы по своему усмотрению, публиковать данные о своем местоположении, ставить оценки Пользователям, использовать построенные программой маршруты в режиме реального времени в рамках доступного функционала Сервиса.
1.10. Оферта для партнера – Публичная оферта для предоставления доступа к сервису “Uklon”, являющаяся публичным предложением заключить договор между Пользователем и Компанией ИП ООО “UKLON UB”, как администратором, о предоставлении доступа к Мобильному приложению и Онлайн-сервису.
1.11. Пользователь – лицо, предоставляющее и/или предлагающее Пассажиру оказание услуг по перевозке пассажиров легковым транспортным средством, услуг по перевозке малогабаритных грузов легковым транспортным средством или иных услуг, которые время от времени могут быть доступны посредством Мобильного приложения, находящееся в договорных отношениях с Компанией на основании Оферты для партнера и прошедшее Авторизацию.
1.12. Пассажир – любое дееспособное физическое лицо, которому на момент регистрации в Мобильном приложении исполнилось 18 (восемнадцать) лет, являющееся пользователем мобильного приложения “Uklon” и находящееся в договорных отношениях с Компанией на основании Пользовательского соглашения, доступного на Веб-сайте.
1.13. Программа – Программа лояльности “UKLON DRIVER”, осуществляющаяся на условиях публичной оферты в соответствии с настоящими Условиями, принимая которые Пользователь становится Участником Программы.
1.14. Промокод – технический набор символов, при активировании которых Пассажиром в мобильном приложении “Uklon”, Пассажир имеет возможность получить скидку на следующую Услугу, заказанную и принятую с использованием Онлайн-сервиса.
1.15. Услуги — услуги по перевозке пассажиров легковым транспортным средством, перевозке малогабаритных грузов легковым транспортным средством, а также иные услуги, которые время от времени могут быть доступны посредством Мобильного приложения, предоставляемые Пассажирам Пользователями. Ни одно положение настоящих Условий не подразумевает и не означает, что Компания непосредственно предоставляет или может предоставлять Услуги.
1.16. Участник Программы и/или Участник – Пользователь, который совершил необходимые действия по осуществлению Авторизации, участвует в Программе в соответствии с Условиями, и чье участие подтверждено Организатором.
1.17. Учетная запись – уникальный идентификатор Пользователя в Онлайн-сервисе, который используется для сводного учета количества и реквизитов Заказов, принятых Пользователем, информации об оплате этих Заказов и о задолженности или требованиях Пользователя к Uklon в связи с Заказами, осуществляемыми
Пользователем. Учетная запись носит технический характер и не имеет статуса расчетного или банковского счета.
2. Общие положения.
2.1. Программа является маркетинговой активностью Организатора, направленной на привлечение Пользователей, увеличение активности Пользователей в пользовании услугами Онлайн-сервиса “Uklon”, узнаваемости и лояльности Пользователей к бренду Uklon.
2.2. Программа функционирует посредством бонусных программ и персональных бонусных начислений, которые инициируются и проводятся Организатором для Участников. Условия бонусных программ предусматривают активное выполнение Участниками Заказов с использованием Онлайн-сервиса “Uklon” и получение Вознаграждения за выполнение таковых условий. Персональные бонусные начисления предусматривают ситуативные мотивационные Вознаграждения с целью продвижения Онлайн-сервиса среди Пользователей.
2.3. Требования к Участникам Программы.
2.3.1. Участником Программы может стать дееспособное физическое лицо (гражданин Республики Узбекистан, иностранный гражданин и лицо без гражданства), при условии кумулятивного соблюдения следующих условий:
1) достижения не менее 21 (двадцати одного) года и опыт вождения не менее 1 (одного) года;
2) загрузки Мобильного приложения на платформе Google Play или App Store;
3) прохождения Авторизации и принятия условий Оферты для партнера.
2.3.2. Ограничения:
1) Участником Программы не может выступать лицо, которое состоит с Организатором в трудовых отношениях;
2) Вознаграждение не может предоставляться в качестве оплаты за поставленные Компании товары (выполненные работы, оказанные услуги), выполнение должностных обязанностей перед Компанией или в качестве материальной помощи.
2.4. Участие в Программе является бесплатным. Стоимость пользования сетью Интернет/мобильной связью, которое осуществляется Участником с целью участия в Программе, оплачивается Участником самостоятельно за свой счет и соответствует стандартной стоимости услуг по тарифному плану провайдера данных услуг.
2.5. Программа не является азартной игрой, лотереей, услугой в сфере игорного бизнеса, или конкурсом и не может быть использована в любой форме азартных игр.
2.6. Настоящие Условия (с учетом всех изменений и дополнений к ним) распространяются на Пользователя с момента осуществления совокупности действий, предусмотренных пунктом 2.3.1 Условий.
2.7. Участник Программы имеет право прекратить свое участие в Программе в любое время, направив Организатору письменное уведомление (электронное письмо) о прекращении участия на электронный адрес uz.uklon1@uklon.eu. Участие Участника в Программе прекращается с момента рассмотрения Организатором указанного письменного уведомления. Граничный срок рассмотрения уведомления составляет 15 дней согласно Закону Республики Узбекистан “Об обращениях физических и юридических лиц”.
3. Права и обязанности сторон.
3.1. Участник Программы вправе:
3.1.1. принимать участие в Программе в соответствии с настоящими Условиями;
3.1.2. пользоваться возможностями Программы и полученным Вознаграждением;
3.1.3. получать актуальную информацию о Программе и бонусных программах в Мобильном приложении;
3.1.4. обращаться к Организатору с запросами касательно разъяснения настоящих Условий и технических трудностей в использовании Программы;
3.1.5. отказаться от участия в Программе.
3.2. Участник Программы обязуется:
3.2.1. Ознакомиться с настоящими Условиями и соблюдать их положения при участии в Программе;
3.2.2. Соблюдать условия пользования Онлайн-сервисом “Uklon”, изложенные в Оферте для партнера;
3.2.3. Самостоятельно и систематически ознакомляться с действующей редакцией
Условий, размещенной на Веб-сайте, и нести риски, связанные с нарушением указанного обязательства;
3.2.4. Своевременно устанавливать доступные обновления Мобильного приложения с использованием платформ Google Play или App Store;
3.2.5. Исполнять налоговые обязательства, связанные с его участием в Программе.
3.3. Организатор Программы вправе:
3.3.1. Запрашивать от Участника любую дополнительную информацию и/или документы по требованию компетентных и уполномоченных органов государственной власти Республики Узбекистан или по собственному усмотрению с целью соблюдения требований законодательства;
3.3.2. Не допустить или устранить Участника от участия в Программе в случаях Несанкционированного участия в Программе, нарушения положений настоящих Условий или Оферты для партнера, осуществления других противоправных действий;
3.3.3. Приостановить участие Участника в Программе в случаях:
1) обоснованного подозрения в злоупотреблениях Условиями Программы;
2) отзыва Участником своего согласия на обработку его персональных данных;
3) предоставления Участником недостоверных и/или неточных сведений при регистрации в Мобильном приложении;
4) предусмотренных пунктом 3.3.1. Условий – до получения соответствующей информации.
3.3.4. Приостановить проведение Программы полностью или частично на срок пересмотра Условий Программы, уведомив об этом Участника посредством Веб- сайта и/или Мобильного приложения.
3.4. Обязанности Организатора:
3.4.1. Осуществлять Программу в соответствии с настоящими Условиями;
3.4.2. Предоставить по письменному запросу Участника разъяснения касательно механики проведения Программы;
3.4.3. Информировать Участников в Мобильном приложении об актуальных бонусных программах и их условиях;
3.4.4. Предоставлять Участнику посредством Мобильного приложения отчетную
информацию касательно Вознаграждения, полученного в рамках Программы лояльности;
3.4.5. Надлежащим образом осуществить сбор, накопление, хранение, обработку, уничтожение, восстановление, обезличивание, использование и передачу персональных данных Участников;
3.4.6. Приложить должные усилия для надлежащего технического сопровождения Программы.
4. Начисление Вознаграждения и порядок информирования Участников.
4.1. С целью поддержания и/или увеличения пользовательской активности Участников, Организатор предоставляет Участникам Вознаграждение за выполнение условий действующих бонусных программ и в качестве индивидуальных бонусных начислений.
4.2. В соответствии со сроком действия бонусные программы делятся на постоянные и временные.
4.3. Постоянные бонусные программы:
4.3.1. Продвижение Промокодов – применяется к Заказам, размещенным Пассажирами – участниками программы лояльности “UKLON RIDER” с использованием Промокодов. Пользователь получает Вознаграждение в эквиваленте стоимости скидки, предоставленной Организатором Пассажиру посредством Промокода;
4.3.2. Виртуальные средства – применяется к Заказам, частично или полностью оплаченным Пассажирами с использованием виртуальных средств баланса Пассажира в соответствии с пунктом 6.9 Пользовательского соглашения. Пользователь получает Вознаграждение в эквиваленте стоимости виртуальных средств, использованных Пассажиром для оплаты Услуги.
4.4. Временные бонусные программы в соответствии со сроком действия делятся на месячные, недельные, дневные и часовые. Организатор может инициировать и проводить, в том числе, но не ограничиваясь, следующие виды бонусных программ:
4.4.1. Бонус за выполненный Заказ – предусматривает начисление Вознаграждения в фиксированном размере за каждый Заказа, выполненный Участником с использование Онлайн-сервиса на протяжении срока действия бонусной программы;
4.4.2. Дневной Бонус – предусматривает начисление Вознаграждения в размере, который зависит от количества Заказов, выполненных Участником с использованием Онлайн-сервиса на протяжении календарного дня;
4.4.3. Минимальный (гарантированный) доход – предусматривает начисление Вознаграждения в определенном размере за выполнение Участниками низкобюджетных Заказов, в случае если средняя цена Заказов не достигает определенного значения;
4.4.4. Бонусные часы – предусматривает начисление Вознаграждения в определенном размере за выполнение Участниками Заказов в определенные временные промежутки;
4.4.5. Геозоны – предусматривает начисление Вознаграждения в определенном размере за выполнение Участниками Заказов в определенных географических регионах (секторах города);
4.4.6. Квалифицированные (Smart) Заказы – предусматривает начисление Вознаграждения в определенном размере за выполнение Участниками Заказов, которые отвечают совокупности установленных критериев дальности, времени, стоимости, начальной или конечной точки поездки, дистанции подачи, длительности ожидания принятия Заказа.
4.5. Организатор по собственному усмотрению и с целью продвижения Онлайн-сервиса проводит, в том числе но не ограничиваясь, следующие индивидуальные бонусные начисление:
4.5.1. “Sorry bonus” – предусматривает начисление Вознаграждения в определенном размере в качестве компенсации за технические сложности или иные неудобства в пользовании Онлайн-сервисом.
4.5.2. “Tips” – предусматривает начисление Вознаграждения в определенном размере за высокое качество предоставление Услуг с использованием Онлайн-сервиса “Uklon”, получение положительных оценок и отзывов от Пассажиров.
4.6. Постоянные бонусные программы, временные бонусные программы и индивидуальные бонусные начисления могут распространяться на всех Участников, определенных Участников или групповую выборку Участников, в том числе выбранным или сгенерированной в случайно-автоматическом режиме.
4.7. Организатор может устанавливать квалификационные критерии для участия в определенных бонусных программах и получения Вознаграждения, включая рейтинг Пользователя в Мобильном приложении, количество отмененных Заказов со стороны Пользователя, возраст автомобиля и другие.
4.8. Стороны подтверждают, что наличие действующих временных бонусных программ и индивидуальных бонусных начислений не гарантируются всем Участникам. Отдельные бонусные программы и индивидуальные бонусные начисления могут распространяться на Участников удовлетворяющих квалификационные критерии и/или на основании случайно-автоматической выборки среди Участников.
4.9. Организатор информирует Участников о новых и действующих бонусных программах и об изменении их условий, размере Вознаграждения, квалификационных критериях и условиях для получения Вознаграждения путем отправления TCP/PUSH уведомлений в Мобильном приложении и в разделе “Бонусы” Мобильного приложения. Дополнительно Организатор может информировать Участников посредством SMS-сообщений и публикации соответствующих условий на веб-сайте https://uz.uklon.eu/driver-update/.
4.10. Организатор предоставляет Участникам актуальную и отчетную информацию о получении Вознаграждения в рамках Программы с использованием функционала Мобильного приложения в следующем порядке:
4.10.1. при просмотре размещенного Заказа в Мобильном приложении, Участнику
отображается размер потенциального Вознаграждения, предоставляемого за выполнение соответствующего Заказа;
4.10.2. в разделе Мобильного приложения “Статистика заработка” отображается совокупный размер Вознаграждения, полученного Участником за определенный период;
4.10.3. в разделе Мобильного приложения “Список транзакций” отображаются зачисления Вознаграждения на Баланс Учетной записи;
4.10.4. в разделе Мобильного приложения “Бонусы” отображаются архивные и действующие бонусные программы и статус их выполнения.
5. Персональные данные Участников Программы.
5.1. Регистрация в Мобильном приложении и предоставление персональных данных в ходе регистрации является предоставлением разрешения Участника Организатору на обработку его персональных данных.
5.2. Участник подтверждает, что ему сообщено о его правах и цели сбора персональных данных в рамках и с целью реализации Программы.
5.3. Участник признает, что в случае небрежного отношения Участника к безопасности и защите его персональных данных, а также данных для Авторизации в Мобильном приложении, третьи лица могут получить несанкционированный доступ к личному профилю Участника, в том числе к персональным данным Участника. Организатор не несет ответственности за ущерб, причиненный таким несанкционированным доступом.
5.4. Персональные данные, которые Участник Программы предоставляет Организатору, собираются на добровольной основе, при этом сбор, накопление, хранение, обработка, уничтожение, обновление, обезличивание, использование, передача таких данных осуществляется только в целях, определенных в Условиях.
5.5. Участник обязуется предоставлять точные и достоверные данные и несет полную ответственность за точность и/или достоверность предоставленных данных и за последствия, вызванные предоставлением неточных и/или недостоверных данных. Организатор не несет ответственность за точность и достоверность предоставленных Участником данных и не обязан осуществлять их проверку.
5.6. Целью обработки персональных данных является информирование Участников о бонусных программах, акциях, персональных предложениях Организатора.
5.7. Принимая участие в Программе, Участник также дает согласие на использование его персональных данных для получения рекламных и специальных предложений, электронных коммерческих сообщений, информации о мероприятиях рекламного характера Организатора.
5.8. Организатор принимает все предусмотренные законодательством меры для обеспечения защиты персональных данных Участника.
5.9. Персональные данные будут храниться Организатором в течение срока, необходимого для достижения указанных выше целей и целей обработки таких данных. Персональные данные могут быть уничтожены в случаях, предусмотренных действующим законодательством Республики Узбекистан или согласно официальному обращению Участника. Уничтожение персональных данных Участника автоматически влечет за собой прекращение участия Участника в Программе.
5.10. После прекращения Программы, или после прекращения участия в ней кого-либо из Участников, Организатор продолжает обработку их персональных данных с целью выполнения норм действующего законодательства Республики Узбекистан.
5.11. Вопросы, связанные со сбором, накоплением, хранением, обработкой, уничтожением, обновлением, обезличиванием, использованием, передачей персональных данных Участников Программы, которые не урегулированы Условиями, регулируются Пользовательским соглашением и Положением об обработке и защите персональных данных, которые размещены на Веб-сайте.
6. Ответственность сторон и ограничение ответственности.
6.1. Организатор не несет ответственность за качество услуг операторов связи, Интернет-провайдеров, в том числе, но не ограничиваясь, за технические проблемы с передачей данных при использовании каналов связи во время проведения Программы, работу операторов связи, любые ошибки операторов связи и/или Интернет-провайдеров, вызвавшие приостановление и/или прекращение участия в Программе любого ее Участника, невозможность получения и использования Участником Вознаграждения, другие ограничения прав Участников.
6.2. Организатор не несет ответственности в случае, если Участник не использовал свое Вознаграждение, в том числе, в связи прекращением сотрудничества с Организатором в соответствии с положениями Оферты для партнера.
6.3. Организатор не несет ответственности за соблюдение им этих Условий в случае наступления форс-мажорных обстоятельств (обстоятельств непреодолимой силы), таких как, в том числе, но не исключительно: стихийные бедствия, пожар, наводнение, военные действия любого характера, блокады, существенные изменения в законодательстве Республики Узбекистан, другие неподвластные контролю со стороны Организатора обстоятельства.
6.4. Организатор не несет ответственности и не гарантирует функционирование Программы, если Участник использует неактуальную (не обновленную) версию Мобильного приложения.
6.5. Материальная ответственность Организатора перед Участником ограничивается начислением средств на Баланс Учетной записи в сумме, не превышающей 13 000 (тринадцать тысяч) сумов.
6.6. Организатор несет ответственность только за непосредственный ущерб, причиненный Участникам в результате действий или бездействия Организатора, исключая возможные косвенные или случайные убытки, такие как включая, но не ограничиваясь, упущенную выгоду или потерю доходов.
6.7. В случае возникновения иных ситуаций, не урегулированных Условиями, ответственность Организатора определяется в соответствии с действующим законодательством Республики Узбекистан.
7. Заключительные положения.
7.1. Правовая природа и применимое законодательство.
7.1.1. Настоящие Условия являются публичной офертой в понимании статьи 369 Гражданского кодекса Республики Узбекистан – публичным предложением заключить договор присоединения, адресованным Пользователям.
7.1.2. Осуществление Участником действий, предусмотренных пунктом 2.4.1. настоящих Условий является полным и безоговорочным подтверждением принятия (акцепта) Пользователем условий Публичной оферты в соответствии со статьей 370 Гражданского Кодекса Республики Узбекистан. Условия могут быть акцептированы Участником в любое время на протяжении срока действия Программы. В случае несогласия Участника с любым из положений настоящих Условий Участник не может брать участие в Программе;
7.1.3. После принятия (акцепта) Участником настоящих Условий, Условия становятся обязывающим для сторон соглашением в соответствии со статьей 364 Гражданского Кодекса Республики Узбекистан.
7.1.4. Условия регулируются и толкуются в соответствии с законодательством Республики Узбекистан. Вопросы, которые не урегулированы настоящими Условиями, подлежат решению в соответствии с действующим законодательством Республики Узбекистан.
7.2. Без вреда для положений пунктов 4.9-4.10 настоящих Условий, Организатор может инициировать дополнительные бонусные программы и/или условия получения Вознаграждения, а также разрабатывать условия проведения указанных мероприятий, которые после утверждения и публикации становятся неотъемлемой частью настоящих Условий.
7.3. Срок действия и прекращение Программы:
7.3.1. Программа действует с даты публикации настоящих Условий до конца 2023 года и не подлежит досрочному прекращению.
7.3.2. Программа автоматически пролонгируется на следующий календарный год в случае, если до 20 декабря соответствующего года Организатор не опубликовал на Веб-сайте свое решение о прекращении Программы. Положения настоящего пункта подлежат повторному применению.
7.4. Организатор имеет право в одностороннем порядке вносить изменения в настоящие Условия. Указанные изменения доносятся к сведению Участников путем их публикации на Веб-сайте и вступают в силу с момента такой публикации.
7.5. Окончательные решения и/или разъяснения по вопросам и спорным ситуациям, возникающим в рамках участия в Программе, и/или вопросам не урегулированным настоящими Условиями, принимаются непосредственно Организатором.
7.6. Программа проводится на территории города Ташкент, Республика Узбекистан.
7.7. Организатор не предоставляет Участникам финансовые или платежные услуги, а также не выступает эмитентом каких-либо платежных инструментов и никакие положения настоящих Условий не могут быть истолкованы иначе.
7.8. Условия, с учетом всех изменений и дополнений, размещаются для ознакомления на русском языке на Веб-сайте.

Условия участия


Настоящие Условия участия в Программе лояльности “UKLON RIDER” (далее по тексту также – «Условия») определяют порядок и условия проведения Программы лояльности, взаимодействия сторон в рамках ее проведения и получения вознаграждения. Настоящие Условия опубликованы ИП ООО “UKLON UB”, ИНН 310448243, местонахождение: 100060, Республика Узбекистан, г. Ташкент, Мирабадский р-н, ул. Т. Шевченко, 34, офис 306, как организатором и являются публичной офертой в понимании статьи 369 Гражданского кодекса Республики Узбекистан – публичным предложением заключить договор, адресованным дееспособным физическим лицам-Пользователям. Путем публикации настоящих Условий ИП ООО “UKLON UB” выражает намерение считать себя заключившим договор с Пользователем, акцептировавшим предложение в порядке, определенном настоящими Условиями.
1. Определения и термины.
Термины и определения, которые употребляются в настоящих Условиях, имеют следующее значение:
1.1. Авторизация – процесс подтверждения Пользователем мобильного номера телефона для получения доступа к личной учетной записи (аккаунту) в Мобильном приложении.
1.2. Бизнес-партнеры – субъекты хозяйствования, которые при условии выполнения Участниками условий акций, организованных в партнерстве Бизнес-партнера с Организатором, предоставляют Участникам возможность получить Промокод.
1.3. Веб-сайт – совокупность данных, электронной (цифровой) информации, связанных между собой и структурированных в пределах адреса веб-сайта, доступ к которым осуществляется через адрес в сети Интернет https://uz.uklon.eu/ . Веб-сайт является результатом компьютерного программирования, что относится к программной продукции.
1.4. Вознаграждение – скидка на Услуги, заказанные Пользователем с использованием Мобильного приложения, которая технически реализована посредством функционала Промокода.
1.5. Заказ – запрос Пользователя на получение Услуг по перевозке пассажиров легковым транспортным средством, перевозке малогабаритных грузов легковым транспортным средством, или на иные услуги, которые время от времени могут быть доступны посредством Мобильного приложения, структурированный по необходимым реквизитам.
1.6. Компания и/или Исполнитель и/или Организатор – Иностранное предприятие в форме Общества с ограниченной ответственностью «UKLON UB», ИНН 310448243, местонахождение: 100060, Республика Узбекистан, г. Ташкент, Мирабадский р-н, ул. Т. Шевченко, 34, офис 306, которое является организатором Программы и обладает исключительными правами объявления, проведения, изменения условий и прекращения Программы.
1.7. Мобильное приложение «Uklon» (далее – Мобильное приложение) – копия программы для ЭВМ в виде мобильного приложения для электронных устройств iOS, Android под названием «Uklon», которая предоставляется Пользователю в качестве инструмента для доступа к Онлайн-сервису «Uklon».
1.8. Несанкционированное участие в Программе – участие в Программе с нарушением ее условий и требований, в том числе, но не исключительно, нарушение требований, предъявляемых к Участнику Программы, участие в Программе в результате несанкционированного вмешательства в работу автоматизированных систем, компьютерных сетей, стационарных и/или переносных устройств, пригодных для доступа к телекоммуникационным сетям, создание Заказов по предварительному сговору с Партнером с целью получения Партнером дополнительной выгоды от выполнения таковых Заказов а также иные недобросовестные действия поименованные или не поименованные прямо в настоящих условиях.
1.9. Онлайн-сервис «Uklon» (далее – Онлайн-сервис) – технологическая платформа, состоящая из Мобильного приложения и взаимосвязанного набора программ ЭВМ и электронных данных в виде цифр, букв, символов, изображений и их сочетаний (включая графическую информацию, видеоинформацию и т.д.), предназначенная для автоматизированного контроля, сбора, обработки, распространения, хранения и представления данных о Заказах, размещенных на ней Пользователем, и о предложениях относительно предоставления Услуг, которые были размещены Партнерами, автоматического расчета стоимости Заказа с учетом соотношения спроса и предложения, погодных условий, маршрута, загруженности и прочих факторов, которая автоматически строит маршруты и обеспечивает обмен данными для связи Пользователя с Партнером, предоставляющая Пользователю возможность поиска и ознакомления с предложениями Партнеров, автоматически сгенерированными, согласно критериям Пользователя относительно возможного выполнения Заказа, позволяющая Пользователю размещать, подтверждать или отклонять соответствующие Заказы и предложения Партнеров по своему усмотрению, публиковать данные о своем местоположении, изменять рекомендуемую стоимость Услуг, ставить оценки Онлайн-сервису и Партнерам и взаимодействовать с ними, пользоваться построенными программой маршрутами в режиме реального времени, как это предусмотрено доступным для использования функционалом Онлайн-сервиса. Онлайн-сервис является результатом компьютерного программирования, относящимся к программной продукции.
1.10. Партнер – третье лицо, предоставляющее и/или предлагающее Пользователю оказание услуг по перевозке пассажиров легковым транспортным средством, услуг по перевозке малогабаритных грузов легковым транспортным средством или иных услуг, которые время от времени могут быть доступны посредством Мобильного приложения, и находящееся в договорных отношениях с Компанией.
1.11. Пользователь – любое дееспособное физическое лицо, которому на момент регистрации в Мобильном приложении исполнилось 18 (восемнадцать) лет.
1.12. Пользовательское соглашение – договор между Пользователем и Компанией ИП ООО «UKLON UB», как администратором, о предоставлении доступа к Онлайн- сервису.
1.13. Программа – Программа лояльности “UKLON RIDER”, являющаяся набором Условий, принимая которые Пользователь становится Участником Программы.
1.14. Промокод – технический набор символов (результат компьютерного программирования), при активации которых в Мобильном Приложении Пользователь имеет возможность получить скидку на следующую Услугу, заказанную посредством Мобильного Приложения. Промокоду может быть присвоен граничный срок действия и граничный размер скидки (в узбекских сумах и/или в процентном соотношении к начальной стоимости Услуги).
1.15. Услуги — услуги по перевозке пассажиров легковым транспортным средством, перевозке малогабаритных грузов легковым транспортным средством, а также иные услуги, которые время от времени могут быть доступны посредством Мобильного приложения, предоставляемые Пользователям Партнерами, находящимися в договорных отношениях с Компанией. Ни одно положение настоящих Условий не подразумевает и не означает, что Компания предоставляет или может предоставлять Услуги.
1.16. Участник Программы и/или Участник – Пользователь, который совершил необходимые действия по осуществлению регистрации в Программе и соответствует требованиям к Участнику Программы согласно настоящим Условиям.
2. Общие положения.
2.1. Программа является маркетинговой активностью Организатора, направленной увеличение активности Пользователей в пользовании услугами Онлайн-сервиса “Uklon”, узнаваемости и лояльности Пользователей к бренду Uklon.
2.2. Программа функционирует путем начисления Пользователям скидочных Промокодов, которые, после активации, уменьшают стоимость следующей Услуги, заказанной с использованием Мобильного приложения.
2.3. Требования к Участникам Программы:
2.3.1. Участником Программы может стать дееспособное физическое лицо (гражданин Республики Узбекистан, иностранный гражданин и лицо без гражданства), при условии кумулятивного соблюдения следующих условий:
1) достижения не менее 18 (восемнадцати) лет;
2) загрузки Мобильного приложения на платформе Google Play или App Store;
3) прохождения Авторизации и принятия условий Пользовательского соглашения.
2.3.2. Участником Программы не может выступать лицо, которое:
1) состоит с Организатором в трудовых отношениях;
2) получает Промокоды в качестве оплаты (вознаграждения) за поставленные товары (выполненные работы, оказанные услуги) или за выполнение должностных обязанностей;
3) получает Промокоды в качестве материальной помощи.
2.4. Участие в Программе является бесплатным. Стоимость пользования сетью Интернет/мобильной связью, которая осуществляется Участником с целью участия в Программе, оплачивается Участником самостоятельно за свой счет и соответствует стандартной стоимости услуг по тарифному плану провайдера данных услуг.
2.5. Программа не является азартной игрой, лотереей, услугой в сфере игорного бизнеса, или конкурсом и не может быть использована в любой форме азартных игр.
2.6. Настоящие Условия (с учетом всех изменений и дополнений к ним) распространяются на Пользователя с момента осуществления совокупности действий, предусмотренных пунктом 2.3.1 Условий.
2.7. Участник Программы имеет право прекратить свое участие в Программе в любое время, направив Организатору письменное уведомление (электронное письмо) о прекращении участия на электронный адрес uz.uklon1@uklon.eu. Участие Участника в Программе прекращается с момента рассмотрения Организатором указанного письменного уведомления. Граничный срок рассмотрения уведомления составляет 15 дней согласно Закону Республики Узбекистан “Об обращениях физических и юридических лиц”.
3. Права и обязанности сторон.
3.1. Участник Программы вправе:
3.1.1. принимать участие в Программе в соответствии с настоящими Условиями;
3.1.2. пользоваться возможностями Программы и полученным Вознаграждением, включая право на начисление Промокодов и их использование;
3.1.3. получать актуальную информацию о Программе в Мобильном приложении и на Веб-сайте;
3.1.4. обращаться к Организатору с запросами касательно разъяснения настоящих Условий и технических трудностей в использовании Программы;
3.1.5. отказаться от участия в Программе.
3.2. Участник Программы обязуется:
3.2.1. Ознакомиться с настоящими Условиями и соблюдать их положения при участии в Программе;
3.2.2. Соблюдать условия пользования Онлайн-сервисом «Uklon», изложенные в Пользовательском соглашении;
3.2.3. Самостоятельно и систематически ознакамливаться с действующей редакцией Условий, размещенной на Веб-сайте, и нести риски, связанные с нарушением указанного обязательства;
3.2.4. Своевременно устанавливать доступные обновления Мобильного приложения с использованием платформ Google Play или App Store.
3.3. Организатор Программы вправе:
3.3.1. Запрашивать от Участника любую дополнительную информацию и/или документы по требованию компетентных и уполномоченных органов государственной власти Республики Узбекистан или по собственному усмотрению с целью соблюдения требований законодательства;
3.3.2. Не допустить или устранить Участника от участия в Программе в случаях Несанкционированного участия в Программе, нарушения положений настоящих Условий или Пользовательского соглашения, осуществления других противоправных действий;
3.3.3. Приостановить участие Участника в Программе в случаях:
1) обоснованного подозрения в злоупотреблениях Условиями Программы;
2) отзыва Участником своего согласия на обработку его персональных данных;
3) предоставления Участником недостоверных и/или неточных сведений при регистрации в Мобильном приложении;
4) предусмотренных пунктом 3.3.1. Условий – до получения соответствующей информации.
3.3.4. Приостановить проведение Программы полностью или частично на срок пересмотра Условий Программы, уведомив об этом Участника посредством Веб- сайта и/или Мобильного приложения. В вышеуказанном случае приостанавливается начисление новых Промокодов, а активные Промокоды подлежат использованию в соответствии с условиями, которые действовали до даты приостановления.
3.4. Обязанности Организатора:
3.4.1. Осуществлять Программу в соответствии с настоящими Условиями;
3.4.2. Предоставить по письменному запросу Участника разъяснения касательно механики проведения Программы;
3.5. Информировать Участников в Мобильном приложении об актуальных и/или новых условиях получения и использования Вознаграждения, а также о факте наличия активных Промокодов;
3.5.1. Надлежащим образом осуществить сбор, накопление, хранение, обработку, уничтожение, восстановление, обезличивание, использование и передачу персональных данных Участников;
3.5.2. Прилагать должных усилий для надлежащего технического сопровождения Программы.
4. Начисление и использование Промокодов.
4.1. С целью поддержания и/или увеличения пользовательской активности Участников, Организатор по собственному усмотрению может инициировать начисление нижеуказанных категорий Промокодов.
4.2. Акционные Промокоды – начисляются за выполнение условий акций, проводимых
Организатором среди и для всех Пользователей Мобильного приложения. Информация о проведении пользовательских акций подлежит публикации на Веб-сайте, и/или в Мобильном приложении, и/или в социальных сетях Организатора. Правила пользовательских акций подлежат утверждению в качестве приложений к настоящим Условиям и публикации на Веб-сайте с подробным описанием критериев участия и получения Промокодов, срока проведения акции и других существенных условий в соответствии со статьей 21 Закона Республики Узбекистан “О рекламе”.
4.3. Партнерские Промокоды – начисляются за выполнение условий совместных акций и кампаний, которые проводятся Организатором в сотрудничестве с Бизнес-партнерами, в том числе, как бонус за приобретение некоторого количества товаров, услуг или работ у Бизнес-партнеров. Информация о совместных кампаниях доводиться до сведения Участников непосредственно Бизнес-партнерами Организатора с указанием условий таких акций, а также может размещаться в Мобильном приложении, на Веб-сайте или в социальных сетях Организатора. Стороны подтверждают, что перечень Бизнес-партнеров является динамическим и может меняться без предварительного уведомления Участника.
4.4. Персональные Промокоды – по инициативе Организатора Участникам могут начисляться персональные Промокоды. Персональные Промокоды могут начисляться:
i. всем Участникам, или
ii. определенным Участникам или групповой выборке Участников, выбранным или сгенерированной в случайно-автоматическом режиме. при наступлении, в том числе, следующих обстоятельств по отношению к Участнику:
1) размещение Заказов и получение определенного количество Услуг на протяжении
определенного временного периода, что характеризует высокую интенсивность в пользовании Онлайн-сервисом;
2) истечение определенного количества времени с даты Авторизации в Мобильном приложении;
3) истечение определенного количества времени с даты первого успешного Заказа и получения Услуги, заказанной с использованием Мобильного приложения;
4) истечение определенного количества времени с даты последнего успешного Заказа и получения Услуги, заказанной с использованием Мобильного приложения;
5) истечение определенного количества времени с даты последнего неуспешного Заказа, при условии отсутствия дальнейших успешных Заказов в Мобильном приложении;
6) истечение определенного количества времени с даты Авторизации в Мобильном приложении при условии отсутствия успешных Заказов и Услуг, заказанных с использованием Мобильного приложения;
7) размещение Заказов и получение Услуг в определенные временные промежутки и/или в определенных географических зонах;
8) в качестве компенсации за технические сложности или иные неудобства в пользовании Онлайн сервисом;
9) обнаружение скрытых Промокодов, которые время от времени могут размещаться
на страницах Мобильного приложения и на Веб-сайте. Организатор информирует Участников о факте получения Промокодов и о доступных для использования Промокодах непосредственно в Мобильном приложении, а также посредством SMS-сообщений. Стороны подтверждают, что начисление Персональных Промокодов не гарантируются всем Участникам и может осуществляться на основании случайно-автоматической выборки среди Участников, которые удовлетворяют соответствующие критерии.
4.5. Порядок и механика использования Промокодов доступны в Правилах получения и использования промокодов пользователями онлайн-сервиса «UKLON» (Дополнение 1 к настоящим Условиям).
5. Персональные данные Участников Программы.
5.1. Регистрация в Мобильном приложении и предоставление персональных данных в ходе регистрации свидетельствует о предоставлении разрешения Участника Организатору на обработку его персональных данных, а также согласие на передачу персональных данных Бизнес-партнерам согласно пункту 4.3 Условий.
5.2. Участник подтверждает, что ему сообщено о его правах и цели сбора персональных данных в рамках и с целью реализации Программы.
5.3. Участник признает, что в случае небрежного отношения Участника к безопасности и защите его персональных данных, а также данных для Авторизации в Мобильном приложении, третьи лица могут получить несанкционированный доступ к личному профилю Участника, в том числе к персональным данным Участника. Организатор не несет ответственности за ущерб, причиненный таким несанкционированным доступом.
5.4. Персональные данные, которые Участник Программы предоставляет Организатору, собираются на добровольной основе, сбор, накопление, хранение, обработка, уничтожение, обновление, обезличивание, использование, передача таких данных осуществляется только в целях, определенных в Условиях.
5.5. Участник обязуется предоставлять точные и достоверные данные и несет полную ответственность за точность и/или достоверность предоставленных данных и за последствия, вызванные предоставлением неточных и/или недостоверных данных. Организатор не несет ответственность за точность и достоверность предоставленных Участником данных и не обязан осуществлять их проверку.
5.6. Целью обработки персональных данных является обеспечение информирования Участников об акциях, персональных предложениях Организатора и Бизнес-партнеров, совершенствования функционала и удобства Мобильного приложения.
5.7. Принимая участие в Программе, Участник также дает согласие на использование его персональных данных для получения рекламных и специальных предложений, электронных коммерческих сообщений, информации о мероприятиях рекламного характера Организатора и/или Бизнес-партнеров.
5.8. Персональные данные Участника могут передаваться Организатором Бизнес-партнерам Программы согласно целям, указанных в пункте 7.2 (іі) Условий.
5.9. Организатор принимает все предусмотренные законодательством меры для обеспечения защиты персональных данных Участника.
5.10. Персональные данные будут храниться Организатором в течение срока, необходимого для достижения указанных выше целей и целей обработки таких данных. Персональные данные могут быть уничтожены в случаях, предусмотренных действующим законодательством Республики Узбекистан или согласно официальному обращению Участника. Уничтожение персональных данных Участника автоматически влечет за собой прекращение участия Участника в Программе.
5.11. После прекращения Программы, или после прекращения участия в ней кого-либо из Участников Организатор продолжает обработку их персональных данных с целью выполнения норм действующего законодательства Республики Узбекистан.
5.12. Вопросы, связанные со сбором, накоплением, хранением, обработкой, уничтожением, обновлением, обезличиванием, использованием, передачей персональных данных Участников Программы, которые не урегулированы Условиями, регулируются Пользовательским соглашением и Положением об обработке и защите персональных данных, которые размещены на Веб-сайте.
6. Ответственность сторон и ограничение ответственности.
6.1. Организатор не несет ответственность за качество услуг операторов связи, Интернет- провайдеров, в том числе, но не ограничиваясь, за технические проблемы с передачей данных при использовании каналов связи во время проведения Программы, работу операторов связи, любые ошибки операторов связи и/или Интернет-провайдеров, вызвавшие приостановление и/или прекращение участия в Программе любого ее Участника, невозможность получения и использования Участником Вознаграждения, другие ограничения прав Участников.
6.2. Организатор не несет ответственности в случае, если Участник не использовал свое Вознаграждение, в том числе, в связи с истечением срока действия Промокода или безуспешным размещением Заказов.
6.3. Организатор не несет ответственности за соблюдение им этих Условий в случае наступления форс-мажорных обстоятельств (обстоятельств непреодолимой силы), таких как, в том числе, но не исключительно: стихийные бедствия, пожар, наводнение, военные действия любого характера, блокады, существенные изменения в законодательстве Республики Узбекистан, другие неподвластные контролю со стороны Организатора обстоятельства
6.4. Организатор не несет ответственности и не гарантирует функционирование Программы, если Участник использует старую (не обновленную) версию Мобильного приложения.
6.5. Ограничение материальной ответственности Организатора перед Участниками заключается в выдаче Промокодов, сумма которых не превышает 13 000 сумов.
6.6. Организатор несет ответственность только за непосредственный ущерб, причиненный Участникам в результате действий или бездействия Организатора, исключая возможные косвенные или случайные убытки, включая, но не ограничиваясь, упущенную выгоду или потерю доходов.
6.7. В случае возникновения иных ситуаций, не урегулированных Условиями, ответственность Организатора определяется в соответствии с действующим законодательством Республики Узбекистан.
7. Заключительные положения.
7.1. Правовая природа и применимое законодательство.
7.1.1. Настоящие Условия являются публичной офертой в понимании статьи 369 Гражданского кодекса Республики Узбекистан – публичным предложением заключить договор присоединения, адресованным Пользователям.
7.1.2. Осуществление Участником действий, предусмотренных пунктом 2.4.1. настоящих Условий является полным и безоговорочным подтверждением принятия (акцепта) Пользователем условий Публичной оферты в соответствии со статьей 370 Гражданского Кодекса Республики Узбекистан. Условия могут быть акцептированы Участником в любое время на протяжении срока действия Программы. В случае несогласия Участника с любым из положений настоящих Условий Участник не может брать участие в Программе;
7.1.3. После принятия (акцепта) Участником настоящих Условий, Условия становятся обязывающим для сторон соглашением в соответствии со статьей 364 Гражданского Кодекса Республики Узбекистан.
7.1.4. Условия регулируются и толкуются в соответствии с законодательством Республики Узбекистан. Вопросы, которые не урегулированы настоящими Условиями, подлежат решению в соответствии с действующим законодательством Республики Узбекистан.
7.2. Организатор может проводить акции, конкурсы, дополнительные маркетинговые активности, специальные предложения в рамках Программы, а также разрабатывать условия проведения указанных мероприятий и начисления Промокодов которые после утверждения у публикации становятся неотъемлемой частью настоящих Условий.
7.3. Срок действия и прекращение Программы:
7.3.1. Программа действует с даты публикации настоящих Условий до конца 2023 года и не подлежит досрочному отзыву.
7.3.2. Программа автоматически пролонгируется на следующий календарный год в случае, если до 20 декабря соответствующего года Организатор не опубликовал на Веб-сайте свое решение о прекращении Программы. Положения настоящего пункта подлежат повторному применению.
7.4. Организатор имеет право в одностороннем порядке вносить изменения в настоящие Условия. Указанные изменения доносятся к сведению Участников путем их публикации на Веб-сайте и вступают в силу с момента такой публикации.
7.5. Окончательные решения и/или разъяснения по вопросам и спорным ситуациям, возникающим в рамках участия в Программе, и/или вопросам не урегулированным настоящими Условиями принимаются непосредственно и исключительно Организатором.
7.6. Программа проводится на территории города Ташкент, Республика Узбекистан.
7.7. Организатор не предоставляет Участникам финансовые или платежные услуги, а также не
выступает эмитентом каких-либо платежных инструментов и никакие положения настоящих Условий не могут быть истолкованы иначе.
7.8. Условия, с учетом всех изменений и дополнений, размещаются для ознакомления на русском языке на Веб-сайте.
Редакция действует с 25.10.2023 года.
